CONFIDENTIALITY AND SECURITY OF INFORMATION. 10.1 Restraints on use or disclosure: Each party agrees that it will not without the prior written consent of the other use confidential data or disclose confidential data to any person other than those of its officers, employees and advisers essential to the implementation of the provisions contained in it or as required by law (including by the Act, regulations or Code) or under the Standing Orders of the New Zealand House of Representatives. Except to the extent it is transferred under clause 10.6, the Provider must at its own expense store all data and processed data held by the Provider as pricing manager.

The personal information that the school collects includes ● Student and parent data: contact details of students and families, students and families' emergency contact details, student’s health status, immunization, and developmental records and plans, social/emotional health, custodial arrangements, incident records, medication records, prior student academic records related to admissions. ● Student academic performance: course assessment materials and results (tests, report cards, and transcripts). ICS shall ensure that all information collected is treated as private and confidential and not disclose information outside of the organization without prior knowledge or consent from the individual or legal representative. For children, their legal representative is their parent or guardian. ICS shall inform persons, prior to collecting information, of the circumstances where information will be disclosed to other parties, unless otherwise required, permitted, or authorized by law. Use and disclosure: ICS shall only use or disclose with consent personal and health information for the primary purpose for which it was collected or for a related secondary purpose that the person would reasonably expect the data to be used for. This information must be treated by me in a confidential and secure fashion. • I will access only the PHI of those UMHS patients with whom there exists a current treatment relationship or who have scheduled an appointment for treatment. • I will not access, release, or share sensitive information – even demographic screens with addresses and phone numbers – unless doing so is a necessary part of my assigned duties. • I will not reveal any of my passwords or share access with others. • If I use a portable electronic device (e.g., laptop), I will ensure that it meets HIPAA security standards and acknowledge that I am responsible for maintaining the security of such information in accordance with HIPAA. If I am unsure whether the device is compliant, I will consult with my supervisor/employer before using such device. • I have completed and understand the HIPAA training required for my position by my organization/employer. I agree to immediately report suspected noncompliance to my supervisor. • I will cooperate with any investigation of possible noncompliance and will not withhold relevant information. I understand that my access to UMHS systems may be audited at any time and may be terminated at any time by the UMHS Privacy Director. I understand that if I do not keep PHI confidential, or if I allow or participate in inappropriate disclosure or access to PHI, I will be subject to immediate disciplinary up to and including dismissal. • I understand that unauthorized access, use, or disclosure of PHI may violate federal or state laws, and may result in criminal and civil penalties against me personally or against my employer. All information requested by User is for User’s exclusive use and User shall take reasonable steps to ensure that all information provided by Redstar Backgrounds will be held in strict confidence, will be kept confidential and will not be disclosed to any third party not involved in the employment decision for which the information is sought. Any use of the Screening Report provided by Redstar Backgrounds, other than for the internal uses provided for in this contract is prohibited, including, but not limited to resale or other commercial use, misrepresentation, improper use of the information or access to the information by unauthorized personnel, whether intentionally or due to carelessness, and may subject User to criminal and/or civil liability under the Federal Credit Reporting Act (“FCRA”) and other applicable Federal, State and local laws. Protection of Access Codes: If User is issued an access code to be used for Internet access to Redstar Backgrounds' services (the “Access Code”), User shall only publicize the Access Code to personnel on a need-to- know basis. CONFIDENTIALITY AND SECURITY OF INFORMATION. Confidentiality DFPS and the Provider shall comply with all state and federal standards regarding the protection and confidentiality of information as currently effective, subsequently enacted or as may be amended. In the event of a confidentiality or security breach of DFPS information, the Provider shall initiate risk mitigation and notify DFPS by telephone and by e-mail within one (1) hour of discovering or having any reason to believe that there has been any physical, personnel, system, or DFPS information security breach. The Provider shall provide DFPS with a description of the security breach and the initial risk mitigation steps taken. DFPS will process the notification to the appropriate party within DFPS.
