Transfer of Data. The Participant consents to the Company or any Affiliate thereof processing data relating to the Participant for legal, personnel, administrative and management purposes and in particular to the processing of any sensitive personal data relating to the Participant. The Company may make such information available to any Affiliate thereof, those who provide products or services to the Company or any Affiliate thereof (such as advisers and payroll administrators), regulatory authorities, potential purchasers of the Company or the business in which the Participant works, and as may be required by law.
Transfer of Data. 16.1 Upon request by the Government prior to or within sixty (60) days after the effective date of termination, you will make available to Government a complete and secure (i.e. encrypted and appropriately authenticated) file of Government Data in a format to be agreed at the time including all schematics and transformation definitions and/or delimited text files with documented, detailed schematic definitions along with attachments in their native format.
Transfer of Data. The HMO must transfer all data regarding the provision of Covered Services to Members to HHSC or a new HMO, at the sole discretion of HHSC and as directed by HHSC. All transferred data must be compliant with HIPAA. All relevant data must be received and verified by HHSC or the subsequent Contractor. If HHSC determines that not all of the data regarding the provision of Covered Services to Members was transferred to HHSC or the subsequent Contractor, as required, or the data is not HIPAA compliant, HHSC reserves the right to hire an independent contractor to assist HHSC in obtaining and transferring all the required data and to ensure that all the data are HIPAA compliant. The reasonable cost of providing these services will be the responsibility of the HMO.
Transfer of Data. The MCO must transfer to HHSC or a subsequent contractor all data and information necessary to transition operations, including: data and reference tables; data entry software; third-party software and modifications; documentation relating to software and interfaces; functional business process flows; and operational information, including correspondence, documentation of ongoing or outstanding issues, operations support documentation, and operational information regarding Subcontractors. For purposes of this provision, "documentation" means all operations, technical and user manuals used in conjunction with the software, Services and Deliverables, in whole or in part, that HHSC determines are necessary to view and extract application data in a proper format. The MCO must provide the documentation in the formats in which such documentation exists at the expiration or termination of the Contract. See Attachment A , “Uniform Managed Care Contract Terms and Conditions,” Section 15.03, “Ownership and Licenses” for additional information concerning intellectual property rights. In addition, the MCO will provide to HHSC the following:
Transfer of Data. The Seller shall or shall cause the Interim Servicer to (x) transfer to the Purchaser's designee and (y) verify the accuracy of the data set forth on Exhibit J hereto in connection with each Mortgage Loan.
Transfer of Data. 10.6.1 The Authority may at any time during the term of this agreement request that the Provider, at the Provider’s own cost, either transfer to the Authority copies of, or grant the Authority access to, the data, processed data or documentation. Upon receipt of such a request from the Authority, the Provider will promptly transfer copies of the data, processed data and/or documentation to the Authority in a format(s) reasonably determined by the Authority.
Transfer of Data. 14.1 In the event of expiry or termination of this Agreement the SERVICE PROVIDER shall cease to use the STATE BANK OF INDIA Data and, at the request of the STATE BANK OF INDIA, shall destroy all such copies of the STATE BANK OF INDIA Data then in its possession to the extent specified by the STATE BANK OF INDIA.
Transfer of Data. 14.1 In the event of expiry or termination of this Agreement Service Provider shall cease to use the Bank’s Data and, at the request of the Bank, shall destroy all such copies of the Bank’s Data then in its possession to the extent specified by the Bank.
Transfer of Data. As soon as practicable but in no event more ---------------- than thirty (30) days after the Effective Date, the Parties shall determine what data and materials relating to Compound, GI Products and Adolor Products in the ROW are necessary for GSK's Development obligations pursuant to this Article 4, and establish a process for transferring copies of such data and material to GSK (including, to the extent available, in appropriate electronic format) or provide means of access thereto reasonably acceptable to GSK.
