To ensure material compliance with the Privacy Laws, the Company has in place, complies with, and takes appropriate steps necessary to ensure compliance in all material respects with its published policies relating to data privacy and security, and the Processing of Personal Data and Confidential Data (the “Privacy Statements”).
To the Company’s knowledge, since January 1, 2024, there have been no material breaches, outages or unauthorized use of or access to the Company’s IT Systems, Confidential Data, or Personal Data that would require notification under applicable Privacy Laws.
To ensure compliance with the Privacy Laws, the Company has in place policies and procedures, and complies with and takes commercially reasonable steps to ensure compliance, in each case in all material respects, with its policies and procedures, relating to data privacy and security and the collection, storage, use, processing, disclosure, handling, and analysis of Personal Data and Confidential Data (the “Policies”).
To the Company’s knowledge, there have been no breaches, outages or unauthorized uses of or accesses to the Company’s IT Systems, Confidential Data, or Personal Data that would require notification under Privacy Laws (as defined below).
The Company and its Subsidiaries are presently in material compliance with all applicable laws or statutes and all judgments, orders, rules and regulations of any court or arbitrator or governmental or regulatory authority, internal policies and contractual obligations relating to the privacy and security of IT Systems, Confidential Data, and Personal Data and to the protection of such IT Systems, Confidential Data, and Personal Data from unauthorized use, access, misappropriation or modification.
