RIGHTS AND INTERESTS. All rights and interests resulting from this lease shall pass directly from the Lessor to the government. The premises shall be operated as government premises in accordance with this lease. CL25 - SANDIA ACCESS Sandia shall have access to and use of the premises 24 hours per day for every day of the year. Sandia agrees to pay for excessive use of utilities consumed if ordered by the SCR in writing from Lessor at the negotiated cost set forth in Section I of this lease and billed to Sandia on a monthly basis within sixty (60) days of such actual excessive consumption. CL26 - SANDIA INGRESS AND XXXXXX RIGHTS Xxxxxx agrees to grant sufficient rights of ingress and egress as to permit the intended use of the premises as contemplated in this lease. CL27 - SANDIA SURRENDER OF LEASE At the conclusion of the lease, Sandia agrees to remove any and all government property from Xxxxxx’s property, and return the premises to Lessor less ordinary wear and tear. CL28 - SUBCONTRACTING All subcontracts shall be made in the name of the contractor and shall not bind nor purport to bind Sandia or shall not relieve Contractor of any obligation under this purchase order/contract. If Contractor subcontracts any work in the performance of this contract, Contractor shall incorporate into every such contract an appropriate set of Sandia Ts&Cs found at: xxxx://xxx.xxxxxx.xxx/bus-ops/scm/Contractor/Contractor-info.html or may use the latest revision of SF6432-CI for the purchase of Commercial Items that are products or SF 6432-CS for commercial services, into any such subcontract. CL29 - SUPERINTENDENT Xxxxxx agrees to have a premises superintendent or a locally designated representative available to promptly correct deficiencies upon notification from the SDR. CL30 - TAXES Lessor shall pay any taxes, use fees, or assessments levied against the premises by any governmental entity. CL31 - UTILITIES The Lessor shall ensure that utilities necessary for operation of the premises are provided and all associated costs are included as a part of the established lease rate. CL32 - WAIVERS No failure by either Lessor or Sandia to insist upon strict performance of any provision of this lease or to exercise any right or remedy consequent upon a breach thereof, and no acceptance of full or partial rent or other performance by Lessor or Sandia during the continuance of any such breach shall constitute a waiver of any such breach of such provision.

SUSPECT/COUNTERFEIT ITEMS (S/CI) Suspect/counterfeit item(s), fraudulent services, and fraudulent misrepresentation of goods or services, are of serious concern to NTESS because they not only threaten personal safety, equipment, and system reliability; but also may inhibit compliance with regulatory standards. Failure of a safety or mission critical system due to S/CI could also result in security implications at DOE facilities. Definitions Suspect Item(s). An item is suspect when inspection or testing indicates that it may not conform to established Government or industry-accepted specifications or standards; and/or the item’s documentation, appearance, performance, material, or other characteristics may have been misrepresented by the vendor, supplier, distributor, or manufacturer. Counterfeit Item(s). A counterfeit item is one that has been copied, substituted, or appended without legal right or authority or whose material, performance, or characteristics have been misrepresented or not fully disclosed by the vendor, supplier, distributor, or manufacturer. Suspect/Counterfeit Items (S/CI) include but are not limited to: (i) items that are intentionally manufactured, refurbished, appended, or altered to imitate original products without authorization in order to be passed off as genuine; (ii) unlawful or unauthorized substitution or addition of component parts; (iii) false identification of grade, lot number, serial number, or performance characteristics, (iv) fraudulent services; (v) misrepresented items and services, (vi) items that introduce unintended fe...
RIGHTS AND INTERESTS. At the Effective Time, the Surviving Corporation shall become the owner, by operation of law and without other transfer, of all the right, title and interest that Company Sub and RRI now have, or may have in the future, in and to all of their respective properties (both real and personal) and assets (both tangible and intangible) of every kind and nature whatsoever, whether choate or inchoate, now existing or arising in the future (the "Assets"). Xx the Effective Time, all rights, franchises, and interests of Company Sub and RRI in and to every type of intellectual property, including all of their respective trademarks, registrations, trademark applications, and goodwill associated therewith, shall be transferred to and vested in the Surviving Corporation by virtue of the Merger without any deed or other transfer. The Surviving Corporation at the Effective Time, and without any order or other action on the part of any court or otherwise, shall hold and enjoy all rights of property, franchises, and interests, including appointments, powers, designations, and nominations, and all other rights and interests as trustee, executor, administrator, agent, transfer agent, registrar of stocks and bonds, administrator of estates, assignee, and receiver, and in every other fiduciary and agency capacity in the same manner and to the same extent as such rights, franchises, and interests were held or enjoyed by the Company Sub and RRI, respectively, immediately prior to the Effective Time.

EI26 - SANDIA PROVIDED INFORMATION Any and all physical forms of designs, design data, specifications, technical, scientific data, and other information furnished by Sandia to the Contractor shall remain the property of the government. Any and all such information provided by Sandia to the Contractor shall be used only for the purpose of enabling performance of this contract and the Contractor shall use its best efforts to prevent disclosure to others except when necessary in the performance of this contract. EI27 - SUBCONTRACTS All subcontracts shall be made in the name of the contractor and shall not bind nor purport to bind Sandia or shall not relieve Contractor of any obligation under this purchase order/contract. If performance occurs in New Mexico the clauses at DEAR 970.5204-4 New Mexico Gross Receipts and Compensating Tax and FAR 52.229-10 State of New Mexico Gross Receipts and Compensating Tax are applicable. Sandia holds California Contractor's Permit Number OH-98033576. Purchases made under this contract are exempt from California Sales and Use Taxes if performance occurs in California.
RIGHTS AND INTERESTS. All rights, title and interests, including all intellectual property rights, in and to the Court Records, data, code, application or any other information provided to the Requesting Party shall remain with the Courts. The Requesting Party shall not acquire any proprietary right to or interest in any Court Records, data, code, application or any other information provided to the Requesting Party under this Agreement, whether or not the Court’s records, data, code, application or other information is incorporated in or integrated with in any way whatsoever with the Requesting Party’s property, data, code, reports, application, program, system or any other sort of product. Such rights may not be transferred, assigned, or sold for any purpose to any person, corporation, partnership, association, or organization of any kind. The Requesting Party shall provide the Division with the names of all entities that receive access to the data provided by the Division that are related in any way to the Requesting Party, including subsidiaries and affiliates, the names under which the Requesting Party is doing business and any other related entity names. The Requesting Party shall supplement this agreement within thirty (30) days of a change in the list of names provided to the Division as requested by this section.
