Background Information means all of the following:

• You are required to keep the information associated with your Account (“Account Profile”) updated at all times, and you agree to update your Account Profile immediately upon any changes to Background Information that you previously provided.

More Definitions of Background Information

Background Information means all Intellectual Property that is not Foreground Information that is incorporated into the Work or necessary for the performance of the Work and that is proprietary to or the confidential information of the Contractor, its subcontractors or any other third party;

Background Information means all and any materials, data, documents, drawings, plans, surveys, reports or other information of whatsoever nature and howsoever prepared/stored relating in any way to the Project Facility made available by WAPCOS Limited and/or its agents in connection with the Contract and/or discussions which preceded such negotiations and preparations, including all such materials, data, documents, drawings, plans, agreements or other information provided in connection with those processes.

Background Information means any information which is owned or controlled by a Project participant on the effective date of the corresponding Project Agreement, or in respect of which ownership or control is acquired by a Project participant as a result of activities outside the framework of the Project;

Background Information. In relation to a Party means any and all information and materials which are not publicly available when disclosed under this Agreement, as well as intellectual property rights pertaining to such information and materials that are developed or obtained by the Party prior to the commencement of the Project, or developed or obtained by the Party subsequent to the commencement of the Project, but independently of the Project, or acquired by the Party from a third party subsequent to the commencement of the Project, in each case only when offered by the Party as potentially suitable for use by the Parties in pursuit of the Project, but only in pursuit of the Project, and listed in Appendix 4 to this Agreement.

Background Information means the following information concerning a Disclosing Party: (A) the name and address of each such Disclosing Party (as defined below in Section 13(c)); (B) the class, series, and number of shares of the Company that are owned, directly or indirectly, beneficially and of record by each such Disclosing Party; (C) any option, warrant, convertible security, stock appreciation right, or similar right with an exercise or conversion privilege or a settlement payment or mechanism at a price related to any class or series of shares of the Company or with a value derived in whole or in part from the value of any class or series of shares of the Company, whether or not such instrument or right shall be subject to settlement in the underlying class or series of capital stock of the Company or otherwise (a “Derivative Instrument”) directly or indirectly owned beneficially by each such Disclosing Party, and any other direct or indirect opportunity to profit or share in any profit derived from any increase or decrease in the value of shares of the Company; (D) any proxy, contract, arrangement, understanding, or relationship pursuant to which any Disclosing Party has a right to vote, directly or indirectly, any shares of any security of the Company; (E) any short interest in any security of the Company held by each such Disclosing Party (for purposes of this paragraph, a person shall be deemed to have a short interest in a security if such person directly or indirectly, through any contract, arrangement, understanding, relationship or otherwise, has the opportunity to profit or share in any profit derived from any decrease in the value of the subject security); (F) any rights to dividends on the shares of the Company owned beneficially directly or indirectly by each such Disclosing Party that are separated or separable from the underlying shares of the Company; (G) any proportionate interest in shares of the Company or Derivative Instruments held, directly or indirectly, by a general or limited partnership in which any Disclosing Party is a general partner or, directly or indirectly, beneficially owns an interest in a general partner; (H) any performance-related fees (other than an asset-based fee) that each such Disclosing Party is directly or indirectly entitled to based on any increase or decrease in the value of shares of the Company or Derivative Instruments, if any, as of the date of such notice, including without limitation any such interests held by members of ...

Background Information means all and any documents, drawings, plans or other information relating in any way to the Project, including for the avoidance of doubt- (a ) results of the following surveys-  topographical;  geotechnical;  buildings structure condition; and  underground services report.
