Trigger Date shall have the meaning set forth in Section 11(a)(iii) hereof.
Termination following a Change of Control means a Termination of Employment within two years after a Change of Control either:
Flip-In Trigger Date shall have the meaning set forth in Section 11(a)(iii) hereof.
Dissolution Event has the meaning set forth in Section 6.1.
Implementation Period means the period from the date of signing of the Agreement and up to the issuance of Final Acceptance Certificate for the project.
Subsequent Triggering Event means either of the following events or transactions occurring after the date hereof:
ii) Trigger Date shall have the meaning set forth in Section 11(a)(iii) hereof.
Milestone Date means the date set against the relevant Milestone in the Implementation Plan;
after means "from but excluding," the words "to" and "until" mean "to but excluding," and the word "through" means "to and including." Likewise, in setting deadlines or other periods, "by" means "by." The words "preceding," "following," and words of similar import, mean immediately preceding or following. References to a month or a year refer to calendar months and calendar years.
Scheduled Dissolution Date means, in respect of each Series, the date specified as such in the applicable Final Terms;
Dissolution Date means, as the case may be:
Transition Period means the period beginning with the Registration Date and ending as of the earlier of: (i) the date of the first annual meeting of stockholders of the Company at which directors are to be elected that occurs after the close of the third calendar year following the calendar year in which the Registration Date occurs; and (ii) the expiration of the “reliance period” under Treasury Regulation Section 1.162-27(f)(2).
Occurrence means an accident, including continuous or repeated exposure to substantially the same general harmful conditions.
(1) IN GENERAL.—The term qualified trade or business’ means any trade or business other than—
Initiation Date means the date on which a financial creditor, corporate applicant or operational creditor, as the case may be, makes an application to the Adjudicating Authority for initiating corporate insolvency resolution process;
Carve-Out Trigger Notice means a written notice delivered by email (or other electronic means) by the DIP Agent to the Debtors, their lead restructuring counsel, the U.S. Trustee, and counsel to the Committee, if any, which notice may be delivered following the occurrence and during the continuation of an Event of Default (as defined in the DIP Credit Agreement) and acceleration of the DIP Obligations under the DIP Facility, stating that the Post-Carve-Out Trigger Notice Cap has been invoked.
Cessation Date means the date of Participant’s Termination of Service (regardless of the reason for such termination).
Triggering Event means any Section 11(a)(ii) Event or any Section 13 Event.
Early Dissolution Event has the meaning specified in Section 9.2.
Release Event has the meaning set forth in Section 6(b).
Delivery Period Termination Date Has the meaning specified in the Related Pass Through Trust Supplement.
Initial Triggering Event means any of the following events or transactions occurring after the date hereof:
(i) IN GENERAL.—The term corporate bond yield curve’ means, with respect to any month, a yield curve which is prescribed by the Secretary of the Treasury for such month and which reflects the average, for the 24-month period ending with the month preceding such month, of monthly yields on investment grade corporate bonds with varying maturities and that are in the top 3 quality levels available.
Practical Completion means that stage in the execution of a Named Project when the Works have been completed in accordance with the terms of the relevant Building Contract and/or the terms of this Agreement such that the AHP Dwellings comprised within the Named Project are fit for beneficial occupation as a residential development in accordance with applicable NHBC or equivalent requirements current at the date of inspection subject only to the existence of minor defects and/or minor omissions at the time of inspection which are capable of being made good or carried out without materially interfering with the beneficial use and enjoyment of the Named Project and which would be reasonable to include in a snagging list, and Practically Complete shall be construed accordingly; Process has the meaning ascribed to it in the DPA; Procurement Law means (as the case may be):
Event of Dissolution shall have the meaning set forth in Section 10.1.
Acquisition Period means the period beginning with the date on which payment of the purchase price for a Specified Acquisition is made and ending on the earlier of (a) the last day of the second full fiscal quarter following the fiscal quarter in which such payment is made, and (b) the date on which the Borrower notifies the Lender that it desires to end the Acquisition Period for such Specified Acquisition; provided that once any Acquisition Period is in effect, the next Acquisition Period may not commence until the termination of such Acquisition Period then in effect. As used above, “Specified Acquisition” means any one or more transactions (i) pursuant to which the Borrower or any Restricted Subsidiary acquires for an aggregate purchase price of not less than $50,000,000 (x) more than 50% of the Equity Interests in any other Person or (y) other property or assets (other than acquisitions of Equity Interests of a Person, capital expenditures and acquisitions of inventory or supplies in the ordinary course of business) of, or of an operating division or business unit of, any other Person, and (ii) which is designated by the Borrower (by written notice to the Lender) as a “Specified Acquisition”.
