It is recognized by all parties hereto, the Board, on its own behalf of the electors of the district, hereby retains and reserves unto itself all powers, rights, authority, duties and responsibilities conferred upon and vested in it by the laws and Constitution of the State of Michigan and of the United States. The Town of Xxxxxx and the Union agree that the provisions of this agreement shall be expressly limited to hours, wages, and working conditions of the employees who are covered by this agreement, and no provisions shall be construed to restrict the Town from the management of its Police Department. ARTICLE II - MANAGEMENT RIGHTS. ‌ 24 The Association recognizes the Board of Directors as the elected representative of the citizens 25 of Wenatchee School District and that the Board in acting in behalf of the citizens of the 26 District, retains and reserves all powers, rights, authority, duties and responsibilities conferred 27 upon and vested in it by the regulations of the State Board of Education, the Statutes and 28 Constitution of the State of Washington and/or of the United States, and any other law, rule 29 and/or regulation. 30 Neither this Agreement nor the act of negotiating shall be construed to be a delegation to 31 others of the policy making authority of the Board, which authority the Board specifically 32 reserves unto itself. The management of the District and the direction of the work force is 1 vested exclusively in the Employer subject to the terms of this Agreement. All matters not 2 specifically and expressly covered or treated by the languages of this Agreement may be 3 administered by the District in accordance with such policy or procedure as the District from 4 time to time may determine. Management officials retain the right and obligation to determine 5 the method, number and kinds of personnel by which operations undertaken by employees in 6 the unit are to be conducted. ARTICLE II - MANAGEMENT RIGHTS. It is understood and agreed that the Employer possess the sole and exclusive right to conduct the business of the Borough, and, except as modified by this Agreement, to manage and direct the affairs of the Police Department, and to fulfill its lawful obligation.

As examples of such authority, but not limited thereto, the Employer shall have the sole right and power to manage its work force; to select and determine the number and qualification of its employees; to direct, schedule and assign its employees; to hire, promote, transfer, layoff, discipline and discharge its employees; to establish, change, discontinue or enforce work rules and policies; and to modify or discontinue services or operations performed by the Employer.
