Service Provider Owned Materials means items expressly identified as “Service Provider-Owned Materials” in a SOW and all intellectual property owned, developed, or first reduced to practice by Service Provider or Service Provider’s authorized subcontractor(s) prior to the Effective Date of this Agreement (or the pertinent, related SOW), or developed independently of this Agreement at any time. “Improvements to Service Provider Owned Material” shall mean any improvements or modifications to Service Provider-Owned Materials that are developed by Service Provider as a result of the services and that do not include or utilize FireEye proprietary or confidential information. Improvements to Service Provider Owned Materials are the sole and exclusive property of Service Provider or Service Provider ’s other licensors, as the case may be, and shall be assigned to Service Provider or Service Provider’s other licensors, as applicable. Except as otherwise expressly provided in a SOW, this Agreement does not affect ownership, right, or title to any Service Provider Owned Materials or Improvements to Service Provider Owned Materials (collectively “Service Provider Intellectual Property”), which shall be owned by Service Provider. Service Provider hereby grants to FireEye a perpetual, non- exclusive, transferable, irrevocable, worldwide, fully-paid right and license to use, display, perform, reproduce, modify and distribute the Service Provider Intellectual Property in connection with the deliverable as contemplated in the SOW.

  • Service Provider Materials means all works of authorship, products and materials [including, but not limited to, data, diagrams, charts, reports, specifications, studies, inventions, software, software development tools, methodologies, ideas, methods, processes, concepts and techniques] owned by, or licensed to, the Service Provider prior to the Commencement Date or independently developed by the Service Provider outside the scope of this Agreement at no expense to Transnet, and used by the Service Provider in the performance of the Services;
