APPROVED BY or "Consented to by" or "Consent of" or "satisfactory to" with respect to a Partner that is not a natural Person means a decision or action which has been consented to in writing by any Authorized Representative of such Partner. In order for a decision or action to be "Approved by the Partners" (or any variation thereof), the decision or action must be Approved by at least one Authorized Representative of each Partner who then continues to have Approval rights with respect to such action or decision under this Agreement.

APPROVED BY or "Consented to by" or "Consent of" or "satisfactory to" with respect to a Partner that is not a natural Person means a decision or action which has been consented to in writing by the Authorized Representative of such Partner (or orally to the extent that the Partners have adopted a course of conduct pursuant to which certain Approvals, other than those described below in this Section 1.12, are granted orally), and with respect to a Partner who is an individual, means a decision or action which has been consented to in writing by such individual. In order for a decision or action to be "Approved by the Partners" (or any variation thereof), the decision or action must be Approved by at least one Authorized Representative of each Partner who then continues to have Approval rights with respect to such action or decision under this Agreement. In order for a decision or action to be "Approved by the General Partners" (or any variation thereof), the decision or action must be Approved by at least one Authorized Representative of each then General Partner. Notwithstanding anything in this Agreement to the contrary (including any course of conduct regarding oral Approvals that has been adopted by the Partners), the following Approvals must be given in writing (to the extent Approval is required therefor) in order to be effective: (1) acquisition by the Partnership or an Investment Entity of a Property other than the El Segundo Land and the Summit Ridge Land (the acquisition of which hereby is Approved by the Partners pursuant to the Approved Development Plans with respect thereto that are described on Exhibit C), (2) any borrowing by the Partnership or an Investment Entity, (3) the sale or other disposition of any Investment or Property, (4) adopting or materially modifying a Development Plan for any Property or any Approved Budget contained therein, including any Approved Overhead Budget contained therein or Approved by the Partners in connection therewith (the Partners hereby confirm that the initial Approved Development Plan, Approved Budget, and Approved Overhead Budget for each of the El Segundo Land and the Summit Ridge Land are described on Exhibit C), (5) liquidating the Partnership or any Investment Entity and (6) issuing a Funding Notice as provided in Section 2.1.2.1(ii). Section 5.1.6.2 sets forth the procedure for obtaining Approvals.
