Service Provider Materials definition

Service Provider Materials means all works of authorship, products and materials [including, but not limited to, data, diagrams, charts, reports, specifications, studies, inventions, software, software development tools, methodologies, ideas, methods, processes, concepts and techniques] owned by, or licensed to, the Service Provider prior to the Commencement Date or independently developed by the Service Provider outside the scope of this Agreement at no expense to Transnet, and used by the Service Provider in the performance of the Services;

Service Provider Materials means all works of authorship, products and materials [including, but not limited to, data, diagrams, charts, reports, specifications, studies, inventions, software, software development tools, methodologies, ideas, methods, processes, concepts and techniques] owned by, or licensed to, the Service Provider prior to the Commencement Date or independently developed by the Service Provider outside the scope of the Agreement at no expense to Transnet, and used by the Service Provider in the performance of the Services;

Service Provider Materials means any Material owned or licensed by Service Provider and used by or on behalf of Service Provider to perform the Services;

Examples of Service Provider Materials in a sentence

• Service Provider grants to Novation a worldwide, nontransferable, non-exclusive, royalty-free license to use the Service Provider Materials only in promotional materials used to encourage participation on the GHX Exchange and the Novation Marketplace, or to use the NPS.

• The Service Provider shall be responsible for all claims in respect of labour, equipment, supplies and materials, including the Service Provider Materials, to be furnished by or on behalf of the Service Provider hereunder, and the Service Provider shall not permit liens, attachments or encumbrances to be imposed by any person, firm or government authority upon the Client’s or the Client’s property by reason of any claim or demand against the Service Provider.

• No ownership of Service Provider Materials or the Intellectual Property Rights in and to them shall be transferred to Service Recipient except for the following license: Service Provider hereby grants to Service Recipient a restricted, non-exclusive, revocable, license to make those limited uses of Service Provider Materials as are reasonably required to use the Services and Deliverables as contemplated by this Agreement.

• The Managed Service Provider Materials, and all Intellectual Property Rights embodied in the foregoing, shall be the sole and exclusive property of the Managed Service Provider or its or their licensors, subject to any rights expressly granted to the End User in terms of this Agreement.

• Service Provider will retain all right, title, and interest in and to any Service Provider Materials (including all patent, trademark, copyright, trade secret, and other intellectual property rights therein), and Customer hereby assigns to Service Provider any right, title, and interest it may otherwise have or claim in or to any Service Provider Materials.

More Definitions of Service Provider Materials

Service Provider Materials means Content provided by Service Provider and displayed on and available to Users of NPS, the Novation Marketplace, GHX Exchange or NPS but shall not include the Novation Materials.

Service Provider Materials has the meaning provided in Section 21.2.

Service Provider Materials means all devices, documents, data, know-how, methods, processes, software and other inventions, works, technologies and materials, including any and all Service Software, Documentation, computer hardware, programs, reports and specifications, client software and deliverables provided or made available to Customer in connection with Service Provider’s performance of the SaaS Services, in each case developed or acquired by the Service Provider independently of this Agreement.

Service Provider Materials means Content provided by Service Provider and displayed on and available to Users of NPS, the Novation Marketplace, GHX Exchange or NPS but shall not include the Novation Materials. "[*****]" has the meaning set forth in Section [*****].
