Service Provider Materials means all works of authorship, products and materials [including, but not limited to, data, diagrams, charts, reports, specifications, studies, inventions, software, software development tools, methodologies, ideas, methods, processes, concepts and techniques] owned by, or licensed to, the Service Provider prior to the Commencement Date or independently developed by the Service Provider outside the scope of this Agreement at no expense to Transnet, and used by the Service Provider in the performance of the Services;

Service Provider Materials means any Material owned or licensed by Service Provider and used by or on behalf of Service Provider to perform the Services;

Service Provider Materials means Content provided by Service Provider and displayed on and available to Users of NPS, the Novation Marketplace, GHX Exchange or NPS but shall not include the Novation Materials.

• No ownership of Service Provider Materials or the Intellectual Property Rights in and to them shall be transferred to Service Recipient except for the following license: Service Provider hereby grants to Service Recipient a restricted, non-exclusive, revocable, license to make those limited uses of Service Provider Materials as are reasonably required to use the Services and Deliverables as contemplated by this Agreement.

• Service Provider hereby grants to Visit Orlando a perpetual, irrevocable, non-exclusive, non-transferable, non-sublicensable right and license to use the Service Provider Materials solely to the extent they are included in the Deliverables.

• Each Party grants to the other Party a non-exclusive, non-assignable, worldwide, royalty-free, non-transferable, and non-sublicensable (except to the Third Party Suppliers of the other Party acting as a Service Provider) license for the Term to use such Party’s Service Provider Materials and Service Recipient Materials (as applicable) solely as necessary for the other Party to use or provide the Services, as applicable, and to otherwise perform its obligations hereunder.

• Visit Orlando shall obtain written consent from Service Provider prior to any and all use, release, or publication of the Service Provider Materials.

Service Provider Materials means all works of authorship, products and materials [including, but not limited to, data, diagrams, charts, reports, specifications, studies, inventions, software, software development tools, methodologies, ideas, methods, processes, concepts and techniques] owned by, or licensed to, the Service Provider prior to the Commencement Date or independently developed by the Service Provider outside the scope of this Agreement at no expense to Transnet, and used by the Service Provider in the performance of the Services; Staff means any partner, employee, agent, consultant, independent associate or contractor, Subcontractor and the staff of such Subcontractor, or other authorised representative of either Party;

Service Provider Materials means: (1) any of Service Provider including, without limitation, computer hardware or software programs, products, materials or methodologies and reports, studies, data, diagrams, charts, specifications, gateways, bridges and integrations with third-party code; (2) any modifications to Service Provider’s pre-existing software produced on behalf of Client; (3) works or materials created and developed by Service Provider prior to or independently of the Services; and (4) residual knowledge and know-how of general applicability resulting from performance of the Services.

Service Provider Materials has the meaning provided in Section 21.2.

Service Provider Materials. ’ means all documents, records, plans, equipment and software to be provided by the Service Provider in connection with this Agreement, including as more particularly described in Annex A.

Service Provider Materials means Content provided by Service Provider and displayed on and available to Users of NPS, the Novation Marketplace, GHX Exchange or NPS but shall not include the Novation Materials. "[*****]" has the meaning set forth in Section [*****].

Service Provider Materials means the Deliverables and any other Materials that either: (i) were previously developed or otherwise owned by Service Provider prior to the Effective Date (including, for example, Service Provider’s proprietary software platform); or (ii) were created or developed by Service Provider hereunder (i.e., enhanced functionality for the Service Provider’s platform, generally applicable themes and layouts, etc.), but excluding (for avoidance of doubt) any Customer Materials.

Service Provider Materials means the services listed under Annexure A: Scope of Work
