Implementation and Training Services. If specified in the applicable Purchase Document, insightsoftware will provide Customer with training and/ or implementation Services as set forth in the applicable Purchase Document. Except as otherwise set forth in the Purchase Document, with respect to the delivery of On-Premise Software set forth in the applicable Purchase Document, the Parties will use commercially reasonable efforts to complete training/ implementation Services within ninety (90) days. Unless otherwise set forth on the Purchase Document, on-site training class size is limited to eight (8) attendees. There will be a charge for an additional instructor for additional attendees. Customer will reasonably cooperate with insightsoftware so as to enable insightsoftware to provide and complete the training/ implementation Services in accordance with the terms herein.

Implementation and Training Services. Provider On-Boarding Service Provider shall provide the implementation services set forth on Schedule A. Supplier will reasonably cooperate with Service Provider's provision of implementation services and will provide reasonable information and assistance to facilitate the conversion and/or implementation. Service Provider shall provide Supplier with training, training aids, and other documentation to help Supplier personnel become familiar with the System and the Services. All such training aids and manuals remain Service Provider's property. Service Provider shall notify Supplier within thirty (30) days or as soon as practicable when Providers elect to pay Supplier through the System. Service Provider shall provide Supplier with Provider’s name and address and the proposed start date for purchases, as reasonably requested by Supplier.
Implementation and Training Services. Bayer shall provide services for the Implementation Project in accordance with the Licensed Software purchased by Licensee and summarized in Schedule 1. Bayer may provide application user training at a Licensee facility or from a remote location as agreed to by Bayer and Licensee. Bayer and Licensee will work to complete the following Implementation Project tasks: • Project Management (Joint) • Deployment of a host server as a Virtual Machine (“VM”) for each server license purchased, and configuration of each VM for network connectivity to allow remote access by Bayer (Licensee) • Installation of the Windows Server operating system and other Windows software components onto the server VM(s) as specified by Bayer (Licensee) • Installation of Bayer VirtualCARE remote access onto the VM(s) (Joint) • Installation of Bayer Licensed Software onto the VM(s) (Bayer) • Installation of OpenVPN and configuration of Licensee networks to allow connectivity of on-premise and cloud License Software components (Licensee) • Technical configuration of the deployed Licensed Software (Bayer) • Integration of the VM(s) to DICOM data sources (Joint) • Integration of the VM(s) to HL7 Order data sources (Joint) • Configuration and testing of outbound reporting interfaces (Joint) • Development of Relevancy Rules (Joint) • Validation testing and acceptance (Joint) • Go-live support (Joint)
Implementation and Training Services. The implementation and training services fees and head set fees are specified separately on the attached quote. Domestic travel to the site, installation of the software on the server, and client installation of the software on computer stations (PCs, MacBook Airs, iMac, MBP, laptops, etc.) and other compatible devices (iPads, Intel Processor Chromebooks, etc.), and any troubleshooting associated with the installation is included at no additional charge. Any remote or onsite troubleshooting concerning the implementation is also included. Implementation services also include two basic implementation trainings for up to twelve trainees at no additional cost.
Implementation and Training Services. If Customer purchases iGrafx implementation and/or training services (individually and collectively “Services”) as indicated in an Order Form, the purchase order reflecting such purchase of Services conforming to the sales quotation shall be project authorization (“Project Authorization”) by Customer to perform the Services. iGrafx’s authorized representative will perform the Services subject the terms and conditions of this Agreement. iGrafx shall have no obligation to perform Services until and unless it accepts a Project Authorization. To the extent necessary to allow iGrafx to perform the Services, Customer shall be responsible for providing iGrafx’s representatives with access to its employees, relevant software and hardware controlled by Customer, and, if Services are being performed onsite, with safe access to Customer’s premises. iGrafx’s representatives will comply with Customer’s security regulations and rules with respect to the Customer’s premises, provided that such regulations and results are provided to iGrafx before the start of Services. All iGrafx materials and information used or generated by iGrafx in the performance of Services ("Services Materials"), and all intellectual property rights therein, shall be the sole and exclusive property of iGrafx. iGrafx grants Customer a perpetual, non-exclusive, non-transferable license, without the right to sublicense and solely for Customer’s own internal business operations, to use the Services Materials subject this Agreement. The rights to any of Customer Data, or results of any compilation thereof, which are used in or result from the Services and Services Materials, shall remain Customer’s sole property. All Services must be used by Customer within twelve months after the date of the relevant Project Authorization and there will be no refunds provided for amounts paid for Services, or any portion thereof, not used within the applicable twelve-month period. All Services are non-cancelable and non-refundable.

Related to Implementation and Training Services

  • Implementation Services The Company and the Client have developed a plan for implementing the services to be provided hereunder, including with respect to the transition of responsibility for such services from the Client and its current administrator to the Company, which plan attached hereto as Schedule I (the “Implementation Plan”). The Company shall perform the services required to complete the Implementation Plan, as set forth therein (the “Implementation Services”). The Company and the Client shall comply with any applicable requirements agreed in the Implementation Plan.

  • Orientation and Training A transferring employee will be orientated separately to both or their new home in accordance with Article 20 the collective agreement of the designated employer.

  • Training Services Training Services may include pre-packaged training Products, and/or the development or customization of training programs as requested, including Live Training, Computer Based/Multi-Media Training which encompasses Internet-Delivered Training, and/or Video Based Training.

  • Education and Training The foundation of this Program is education and voluntary compliance. It is recognized that alcohol and chemical dependency may make voluntary cessation of use difficult, and one of the Program’s principal aims is to make voluntary steps toward ending substance abuse easily available. The outside contractor shall review and develop on-going educational and training information on the adverse consequences of substance abuse and the responsibility to avoid being under the influence of alcohol or chemicals at work. Certain training required by the DOT Regulations shall be the responsibility of the Substance Abuse Program.

  • Implementation and Review The Parties shall consult annually, or as otherwise agreed, to review the implementation of this Chapter and consider other matters of mutual interest affecting trade in services. (10) 10 Such consultations will be addressed under Article 170 (Free Trade Commission) of Chapter 14 (Administration of the Agreement).

  • Training a. The employer, in consultation with the local, shall be responsible for developing and implementing an ongoing harassment and sexual harassment awareness program for all employees. Where a program currently exists and meets the criteria listed in this agreement, such a program shall be deemed to satisfy the provisions of this article. This awareness program shall initially be for all employees and shall be scheduled at least once annually for all new employees to attend.

  • Technical Support Services 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.

  • Counseling Services Counseling services are available to Residents through the UC Health Employee Assistance Program. In addition, residents may utilize their health insurance coverage to access mental health care under the terms and conditions of their health care insurance provider.

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.
