Supplier Personnel. The Customer and Supplier agree and acknowledge that in the event of the Supplier ceasing to provide the Goods and/or Services or part of them for any reason, Contract Schedule 10 (Staff Transfer) shall apply. The Supplier shall not take any step (expressly or implicitly and directly or indirectly by itself or through any other person) to dissuade or discourage any employees engaged in the provision of the Goods and/or Services from transferring their employment to the Customer and/or the Replacement Supplier. During the Termination Assistance Period, the Supplier shall give the Customer and/or the Replacement Supplier reasonable access to the Suppliers personnel to present the case for transferring their employment to the Customer and/or the Replacement Supplier. The Supplier shall immediately notify the Customer or, at the direction of the Customer, the Replacement Supplier of any period of notice given by the Supplier or received from any person referred to in the Staffing Information, regardless of when such notice takes effect. The Supplier shall not for a period of twelve (12) Months from the date of transfer re-employ or re-engage or entice any employees, suppliers or Sub-Contractors whose employment or engagement is transferred to the Customer and/or the Replacement Supplier, unless approval has been obtained from the Customer which shall not be unreasonably withheld.
Supplier Personnel. The Supplier shall: provide a list of the names of all Supplier Personnel requiring admission to Customer Premises, specifying the capacity in which they require admission and giving such other particulars as the Customer may reasonably require; ensure that all Supplier Personnel: are appropriately qualified, trained and experienced to provide the Goods and/or Services with all reasonable skill, care and diligence; are vetted in accordance with Good Industry Practice and, where applicable, the Security Policy and the Standards; obey all lawful instructions and reasonable directions of the Customer (including, if so required by the Customer, the ICT Policy) and provide the Goods and/or Services to the reasonable satisfaction of the Customer; and comply with all reasonable requirements of the Customer concerning conduct at the Customer Premises, including the security requirements set out in Contract Schedule 4 (Security); subject to Contract Schedule 5 (Staff Transfer) ;, retain overall control of the Supplier Personnel at all times so that the Supplier Personnel shall not be deemed to be employees, agents or contractors of the Customer; be liable at all times for all acts or omissions of Supplier Personnel, so that any act or omission of a member of any Supplier Personnel which results in a Default under this Contract shall be a Default by the Supplier; use all reasonable endeavours to minimise the number of changes in Supplier Personnel; replace (temporarily or permanently, as appropriate) any Supplier Personnel as soon as practicable if any Supplier Personnel have been removed or are unavailable for any reason whatsoever; bear the programme familiarisation and other costs associated with any replacement of any Supplier Personnel; and procure that the Supplier Personnel shall vacate the Customer Premises immediately upon the Contract Expiry Date. If the Customer reasonably believes that any of the Supplier Personnel are unsuitable to undertake work in respect of this Contract, it may: refuse admission to the relevant person(s) to the Customer Premises; and/or direct the Supplier to end the involvement in the provision of the Goods and/or Services of the relevant person(s). The decision of the Customer as to whether any person is to be refused access to the Customer Premises shall be final and conclusive. Supplier Personnel. The Supplier Personnel providing the Services and Materials have the education, training, experience, skills, and access to resources, systems and processes necessary to safely, diligently and expeditiously provide the Services and Materials. Supplier further undertakes to continue to upgrade the education, training and skill of Supplier Personnel necessary to maintain Leading Industry Practices status. The Supplier warrants that it has conducted criminal, credit, insurance, reference, security and any other industry standard background checks to ensure that Supplier Personnel are available and properly qualified to provide the Services and Materials securely, safely, efficiently and in accordance with the terms of the Contract.
Supplier Personnel. 6.1 The Supplier shall not remove or replace any Key Personnel (including when carrying out its obligations under Clause 16 (Exit Management) unless:
6.1.1 requested to do so by DFID;
6.1.2 the person concerned resigns, retires or dies or is on maternity or long‐term sick leave;
6.1.3 the person’s employment or contractual arrangement with the Supplier or a Sub‐Contractor is terminated by the employer for material breach of contract; or
6.1.4 the Supplier obtains Approval (such Approval not to be unreasonably withheld or delayed).

Supplier Personnel. 12.1 Supplier’s personnel are not eligible to participate in any of the employee benefit or similar programs of the Funds or CMA. Supplier shall inform all of its personnel providing Services pursuant to this Agreement that they are not intended to be considered employees of the Funds or CMA for any purpose.
12.2 Upon the request of the Funds or CMA, Supplier shall promptly, and after consultation with the Funds or CMA, consider any concerns or issues raised by the Funds or CMA regarding any of Supplier’s Representatives or Subcontractors performing Services under this Agreement at premises other than the Funds’ or CMA’s premises, which may include, as appropriate, replacing such Representative or Subcontractor from the Funds’ account.
12.3 The engagement of a Subcontractor by Supplier shall not relieve Supplier of any of its obligations under this Agreement. Supplier shall be responsible for the performance or nonperformance of its Subcontractors as if such performance or nonperformance were that of Supplier. Supplier shall require all Subcontractors, as a condition to their engagement, to agree to be bound by provisions substantially the same as those included in this Agreement particularly the Sections entitled “Supplier Personnel”, “Insurance” and “Confidentiality and Information Protection.”

Supplier Personnel. (a) The names (or job description) of Supplier Personnel whom are responsible for providing the Services and Materials shall be set out in each respective SOW, failing which such will be agreed to by the Parties acting reasonably. In addition to the restrictions to the Supplier Personnel as set out in this Contract, additional restrictions relating to Supplier Personnel, if any, may be agreed to by the Parties and thereafter set out in each respective SOW.
(b) Supplier shall remove any Supplier Personnel upon the request of CPR within the time limit indicated in such request; and
(c) Supplier shall replace such Supplier Personnel promptly upon receiving request or approval of CPR, which approval shall not be unreasonably withheld. The Supplier shall be responsible for all costs associated with on-boarding and training Supplier Personnel (including those replaced or removed).
Supplier Personnel. (i) will not remove Buyer or Government assets from Buyer’s or Government’s premises without Buyer authorization; (ii) will use Buyer or Government assets only for purposes of this purchase order; (iii) will only connect with, interact with or use computer resources, networks, programs, tools or routines that Buyer agrees are needed to provide services; and (iv) will not share or disclose user identifiers, passwords, cipher keys or computer dial port telephone numbers. Buyer may periodically audit Supplier’s data residing on Buyer or Government’s information assets.
Supplier Personnel. Any and all of Supplier’s employees, agents, contractors, or Subcontractors performing under this Contract.
