Approval of Subcontracts. Contractor shall obtain GCHP’s written consent, which GCHP may withhold in its sole discretion, before entering into agreements with a subcontractor for the performance of the Services or portion thereof. GCHP may, in its sole discretion and upon thirty (30) days advance notice to Contractor, withdraw its consent for the use of a permitted subcontractor and, in such an event, Contractor must terminate its use of that subcontractor for the Services. Contractor shall be responsible for all acts or omissions of its subcontractors. Contractor shall ensure that any and all subcontractors are insured in accordance with the Insurance Addendum. The GCHP Reimbursable Expense Guidelines in Exhibit B shall apply to travel expenses incurred by a subcontractor that Contractor is obligated to reimburse to the subcontractor. GCHP shall not be responsible to pay Contractor any amount in excess of Contractor’s actual cost of reimbursing a subcontractor, or the maximum amount permitted by the GCHP’s Reimbursable Expense Guidelines, whichever is less. In no event shall GCHP pay Contractor any percentage, fee, administrative charge, or other mark-up. Contractor agrees to notify GCHP in the event the agreement with its subcontractor is terminated.

Approval of Subcontracts. The Team Subcontracts are not required to be approved by the Owner. Those portions of the Work that the Design/Builder does not intend to perform with the Design/Builder's own personnel shall be performed under Subcontracts. The Design/Builder shall obtain bids from Subcontractors and shall deliver such bids to the Owner. The Owner will then determine, with the advice of the Design/Builder, which bids will be accepted. The Owner may designate specific persons or entities from whom the Design/Builder has no objection and from whom the Design/Builder shall obtain bids. If a specific bidder among those whose bids are delivered by the Design/Builder to the Owner (1) is recommended to the Owner by the Design/Builder; (2) is qualified to perform that portion of the Work; and (3) has submitted a bid which conforms to the requirements of the Contract Documents, but The Owner requires that another bid be accepted, then the GMP shall be amended to adjust the GMP by the difference between the bid of the person or entity recommended to the Owner by the Design/Builder and the amount of the Subcontract actually signed with the person or entity designated by the Owner. Subcontracts shall conform to the payment procedures of this Agreement and shall not be awarded on the basis of cost plus a fee without the prior consent of the Owner. Proposed Subcontractors will be deemed accepted unless the Owner objects in writing within ten (10) days after submission by the Design/Builder.
Approval of Subcontracts. The ordering activity may require that the Contractor receive, from the ordering activity's Contracting Officer, written consent before placing any subcontract for furnishing any of the work called for in a task order.

Further, if requested by ARC's Executive Director or er authorized agent, the Subgrantee shall provide ARC with such documentation as ARC's Executive Director shall require, regarding the method the Subgrantee used in selecting its subcontractor. The Subgrantee acknowledges that if work or services to be performed under this agreement is financed solely or partially with federal funds, the selection of subcontractors is governed by regulations requiring competition between potential subcontractors or adequate justification for sole source selection. The Subgrantee agrees to abide by such regulations in its selection procedure.
