Contracts and Subcontracts. The Recipient, Subrecipient, and Recipient’s and Subrecipient’s contractor or subcontractor shall insert in any Contracts, the clauses set forth in paragraph (b)(1) through (4) of this section and also a clause requiring the subcontractors to include these clauses in any lower tier subcontracts. The Recipient shall be responsible for compliance by any subcontractor or lower tier subcontractor with the clauses set forth in paragraphs (b)(1) through (4) of this section.
Contracts and Subcontracts. Maintain records which sufficiently and properly reflect all direct and indirect costs of any contract or subcontracts. Such records shall include, but not be limited to, documentation of any funds expended by the District Defender for said contracts or subcontracts, documentation of the nature of the service rendered, and records which demonstrate the amount of time spent by each subcontractor or contractor rendering service pursuant to the subcontract.

Borrower shall have delivered to Lender, and Lender and Construction Consultant shall have approved a list, certified by Borrower, of all Contractors and Subcontractors who have been or, to the extent identified by Borrower, will be supplying labor or materials for the Property. The list of Contractors and Subcontractors may be amended from time to time subject to the approval of Lender and Construction Consultant, in accordance with the terms hereof. Borrower shall have delivered to Lender all Contract and Major Contracts for all of the work necessary for Completion of the Improvements, and Lender and Construction Consultant shall have approved all such Major Contracts. No Advance shall be made by Lender with regard to work done by or on behalf of any Contractor or Subcontractor unless Borrower shall have delivered to Lender and Construction Consultant originals of the following documents as to such Contractor or Subcontractor, each in form and substance reasonably satisfactory to Lender:

The Supplier Code of Conduct requires that Contractor and each of its Subcontractors demonstrate a strong commitment to compliance, ethics, sustainability and supplier diversity as a foundation to successful business. Contractor must complete its Work for PG&E in full compliance with the Supplier Code of Conduct, as it may be modified from time to time. Contractor shall access, read and comply with PG&E’s Supplier Code of Conduct and shall make it available to its Subcontractors and suppliers. Contracts and Subcontracts. In addition to the foregoing, Aladdin Gaming shall include, and shall cause its contractors and subcontractors to include, in each contract or subcontract a provision that the contractor or subcontractor shall procure and maintain the insurance coverage set forth in SECTION I(A), (B) and (C) above. GE Capital may require that such limits be increased with respect to any particular contract based upon the services to be performed. All such contracts must contain a waiver of subrogation rights against Aladdin Gaming and GE Capital, contractual indemnification in favor GE Capital and Aladdin Gaming and must state that coverage (except for Workers' Compensation coverage) carried in primary with respect to any other policies carried by Aladdin Gaming and GE Capital and such insurance shall name Aladdin Gaming and GE Capital as additional insureds. Such insurance shall continue in force until all of the obligations of such contractor or subcontractor are fulfilled. Prior to the commencement of any work under the applicable contract or subcontract, Aladdin Gaming shall obtain and forward to GE Capital proper evidence of such insurance from such contractors and subcontractors. b. All construction work, if any, and professional services for the Project shall be performed by persons or entities licensed or otherwise authorized to perform the applicable construction work or service in the State of California. All costs incurred in the construction and operation of the Project shall be the responsibility and obligation solely of Borrower.

Contracts and Subcontracts. In fulfilling its obligations hereunder, the Contractor has the right to utilize the services of persons or entities by means of subcontractual relationships. The Contractor acknowledges and agrees that the execution of Subcontracts does not diminish or alter the Contractor's responsibilities under this Agreement. The Contractor must make all Subcontracts available to the Department within five (5) days of a request by the Department. Contracts and Subcontracts entered into by the Contractor does not terminate the Contractor's obligations under this Agreement. All contracts and Subcontracts must be in writing and must include, at a minimum, the provisions contained in Exhibit II of this Agreement, Required Contract Terms for Subcontractors. Subcontracts which must be submitted to the Department for advance written approval are: o Any subcontract between the Contractor and any individual, firm, corporation or any other entity to perform part or all of the selected Contractor's responsibilities under this Agreement. This provision includes, but is not limited to, contracts for vision services, dental services, claims processing, member services, pharmacy services and lobbying activities. This provision does not include, for example, purchase orders. o Any transaction with a related party, regardless of its stated purpose, including, but not limited to, loans, advances and/or lease arrangements. The Contractor must inform the Department that the subcontractor is a related party at the time approval is requested.
