Technical Information. Prior to the execution of this Agreement, Provider supplied CPS’s Department of Information Technology Services (“ITS”) with information regarding its Product, including but not limited to the security and technical environment (collectively “Technical Information”). Provider is required to advise the Board’s ITS Program Manager if the Technical Information for any Product(s) or Program(s) changes in any way during the Term of this Agreement, including any Renewal Terms. Any changes that, in the Board’s sole determination, do not result in the disqualification of the Products shall be documented by completion of a Change Order of Technical Information, a template of which is attached and incorporated into this Agreement as Exhibit A that will be signed by the Board’s Chief Teaching & Learning Officer and the Board’s ITS Program Manager, or a designee for each, and Provider’s authorized representative and then made a part of this Agreement. No other terms or conditions of this Agreement may be changed via the Change Order for Technical Information and any attempt to do so shall be void. Changes that result in the disqualification of the Product shall be documented in a written amendment to this Agreement signed by the Board’s Chief Teaching & Learning Officer and the Provider’s authorized representative and approved by the Board’s General Counsel.
Technical Information. ‌ The Employer agrees to provide to the Association the following information relating to employees in the bargaining unit required by the Union for collective bargaining purposes: • list of employees and status; • gender; • job titles; • job descriptions; • wage rates; • seniority list or service dates; • summary of benefit plans (medical, dental, wage indemnity, pension, etc.) The Association may request other information it requires from the Employer.
Technical Information. The Employer agrees to provide to the Union such information that is available relating to employees in the bargaining unit, as may be required by the Union for collective bargaining. In addition, the Employer shall make available to the Union a computer diskette in ASCII language of the membership information, submitted with each dues deduction record. This information shall include the following: Social Insurance Number, surname and first name, address, sex, birth date, job classification number and job step, gross pay, month-to-date dues.
Technical Information. Executive covenants and agrees that during the Employment Term and for a period of six months after termination of the Employment Term (regardless of whether Executive is terminated or defaults under any other provision of this Contract) he will assign to the Company or its nominees all of his right, title and interest in and to all "Technical Information" (as hereinafter defined) which he makes, develops or conceives, either alone or in conjunction with others; he will disclose promptly to the Company all such Technical Information; and he will cooperate with the Company in its efforts to protect its rights of ownership in such Technical Information. For purposes of this Contract, "Technical Information" shall mean and include, but not be limited to, all software, processes, devices, trademarks, trade names, copyrights, marketing plans, improvements, and ideas relating to the business of the Company, and all goodwill associated with any such item.
Technical Information. Technical Information" shall mean all trade secrets, know-how, computer programs (including copyrights in said software), knowledge, technology, means, methods, processes, practices, formulas, techniques, procedures, technical assistance, designs, drawings, apparatus, written and oral rectifications of data, specifications, assembly procedures, schematics and other valuable information of whatever nature, whether confidential or not, and whether proprietary or not, which is now in (or hereafter, during the Agreement Term, comes into) the possession of Aspect and which is necessary to the manufacture, assembly, sale, distribution, use, installation, servicing or testing of the Product.
Technical Information. 39.01 Notwithstanding Article 37, Clause 37.01, the Employer shall make available to the Union, upon written request and within a time period mutually agreed by the parties, information pertaining to bargaining unit employees which may reasonably be required, which is necessary for the collective bargaining process and/or the administration of the Collective Agreement.
