FTE Rates. In the first Contract Year that a Party is expected to incur FTE Costs in any country or Region in connection with performing activities related to any Product under this Agreement, such incurring Party shall develop and submit to the JSC for its review, discussion, and approval pursuant to Section 4.1.3(j) (Duties of the JSC) initial FTE Rates (other than a Field Force FTE Rate) for such country or Region. Without limiting Section 9.6 (Adjustments to FTE Rate), for each upcoming Contract Year during the Term, such Party shall develop an annual update to such FTE Rates (other than the Field Force FTE Rate) for each country or Region, which rate will be adjusted by the applicable CPI Adjustment, and will submit such updated rate to the JSC for its review Confidential Portions of this Exhibit marked as [***] have been omitted pursuant to a request for confidential treatment and have been filed separately with the Securities and Exchange Commission. FTE Rates. (a) The Parties have agreed on the Development FTE-rate, as set forth in clause (b) below, that will be charged for the resources allocated to the Development Plan activities from the functions directly operating the activities on a fractional Development FTE-basis. The Parties contemplate that this rate captures total actual personnel and fixed costs attributable to the performance of the Development Plan under this Agreement.

FTE Rates. Corporation agrees, and Kirin and Amgen agree to cause Corporation to, adjust the FTE Rate by means of a CPI Adjustment effective as of January 1 of each calendar year; provided that, unless otherwise agreed by Kirin and Amgen in writing, in no event shall any FTE Rate be reduced to an amount less than the prior year’s FTE Rate.”
FTE Rates. (a) The FTE rate shall be established yearly by the Finance Team, and approved by the JMC for the various activities that will be undertaken in the R&D Program prior to the commencement of the applicable activity. Such FTE rate shall apply equally to both Parties, and shall reflect the weighted average fully burdened cost, material costs included, of the participation of all FTEs in the R&D Program for the applicable year, e.g., for Roche, would reflect the sum of its yearly standard fixed rate (material costs excluded) plus an agreed yearly standard amount for material costs. In determining such rate, expenditures for long-lived assets such as facilities or capital equipment shall be amortized over their useful life, consistent with the periods used for financial reporting by the Parties under the applicable Accounting Standards. The Parties have agreed that in no event shall the FTE rate(s) for activities undertaken pursuant to the Initial Period of the R&D Plan exceed [****] per FTE per year.
