R&D Program definition

R&D Program means any research and development program commenced by Newco pursuant to the Project.
R&D Program means each collaborative program of Development activities established in accordance with Sections 2.3(a) or 2.7, as applicable, and conducted by or on behalf of the Parties during the R&D Term in accordance with the terms and conditions of this Agreement, and that is not a Discontinued R&D Program.
R&D Program means the research and development program to be conducted ----------- during the Research Term by DIVERSA and DOW pursuant to Section 2, as more fully described [*****].

Examples of R&D Program in a sentence

  • For clarity, unless otherwise mutually agreed in writing by the Parties, in no event shall Moderna be entitled to receive payment for (and Moderna shall be solely responsible for) any FTEs or other R&D Program Costs in a given Calendar Quarter in connection with the performance of activities that are not included in the applicable R&D Plan or that are not specifically included in the budget set forth therein.

  • Moderna will have the right to terminate this Agreement in full in the event of a material breach by Merck of this Agreement; provided, that to the extent that any such material breach is limited to a particular R&D Program, Product Candidate, Elected Candidate, Product or country, Moderna will have the right to terminate this Agreement only with respect to such R&D Program, Product Candidate, Elected Candidate, Product or country to which such material breach primarily relates.

  • Any R&D Program that is being replaced by a new R&D Program will be a Discontinued Program hereunder.

  • If an R&D Program Proposal submitted by Merck satisfies the requirements of this Section 2.3(a), Section 2.3(b) and Section 2.3(c), the proposed R&D Program will become an R&D Program hereunder.

  • Furthermore, during the R&D Term, Merck at its sole discretion may add or remove any Merck Exclusive Target as an R&D Target of an established R&D Program by providing written notice to Moderna.


More Definitions of R&D Program

R&D Program means the program of R&D Activities carried out by the parties pursuant to the R&D Plan.
R&D Program means the research and development program related to the Product set out in the Services Agreement.
R&D Program means the research and development program to be conducted by Diversa and IBP pursuant to Section 2, as more fully described in the Work Plan. The R&D Program with respect to a given compound in a Compound Set shall end upon the earliest of (i) the date that an investigational new drug application (or equivalent application outside of the United States) is filed for a Product containing such compound or (ii) the date that any License with respect to such compound terminates.
R&D Program means, with respect to each Initial PTP, a program of discovery, research and preclinical development aimed at generating a Development Candidate and back-up Program Compounds directed to the applicable Program Target Profile.
R&D Program means the research and development program to be conducted by MAXYGEN and PIONEER pursuant to Section 2 and as described in the Work Plan.
R&D Program has the meaning set forth in Section 3.1.
R&D Program means a joint research and development program to develop one or more Products pursuant to a Program Plan.
