Negotiation and execution of any agreements with Third Parties necessary for the development, manufacturing, or commercialization of a Licensed Product, including but not limited to contract research organizations (CROs), contract manufacturing organizations (CMOs), distributors, and sublicensees.
Payments under this Agreement are inclusive of all taxes such as taxes imposed on the production, sale, delivery, or use of Licensed Product, including, without limitation, any applicable value-added tax, goods and services tax, sales tax, excise tax, or similar taxes.
Licensee shall be solely responsible for any and all claims, costs, fees, or payments associated with obtaining rights from Third Parties necessary to develop, manufacture, commercialize, or use any Licensed Product.
Licensee shall provide Licensor with quarterly written reports detailing the Net Sales of each Licensed Product.
Licensee shall perform all such activities in compliance with applicable laws, regulations, and third-party rights, and shall indemnify, defend, and hold harmless Licensor from and against any and all claims, liabilities, damages, losses, and expenses arising from or related to Licensee’s development, manufacture, or commercialization of any Licensed Product.
