Allocation Spreadsheet definition

Allocation Spreadsheet has the meaning set forth in Section 1.6(a).

Allocation Spreadsheet means the spreadsheet delivered by the Company to Purchaser at the Closing outlining the Closing Purchase Price to be paid to each Equityholder.

The Allocation Spreadsheet shall be deemed a Company Fundamental Representation and shall not be subject to the Threshold (as may be updated by a written notice by Company to Buyer in order to give effect to exercise of Options prior to or at Closing and update of Company Transaction Expenses, Estimated Adjustment Statement and Final Adjustment Statement, all in accordance with the provisions of this Agreement).
