Commercialization Costs. Licensee shall be responsible for all costs and expenses associated with its commercialization activities hereunder.
Commercialization Costs. (a) Except as otherwise expressly provided in this Agreement, Takeda shall bear all Commercialization Costs incurred by either Party in accordance with the Commercialization activities, and corresponding budgeted costs, set forth in the Commercialization Plan approved by the JSC.

Notwithstanding the amounts allocated to Commercialization activities in the Shared Territory in the applicable Joint Commercialization Budget, for any calendar year, each Party will only be permitted to recover Joint Commercialization Costs with respect to Commercialization activities that have been allocated to such Party under the Joint Commercialization Plan and [***] INDICATES MATERIAL THAT HAS BEEN OMITTED AND FOR WHICH CONFIDENTIAL TREATMENT HAS BEEN REQUESTED. ALL SUCH OMITTED MATERIAL HAS BEEN FILED WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO RULE 406 PROMULGATED UNDER THE SECURITIES ACT OF 1933, AS AMENDED related Joint Commercialization Budget in excess of the amount allocated therein (A) by up to [***] of the amount so allocated, or (B) with the unanimous approval of the JCC, which approval may be granted either in advance of such costs being incurred or retroactively. SGI and Unum will reconcile Joint Commercialization Costs incurred by each Party through the procedures in Section 11.5 or Section 11.6, as applicable.
Commercialization Costs. Subject to Section 10.5.1(b), as between the Parties, Verve shall be solely responsible for all costs and expenses incurred (including both internal FTE-based costs and payments owed to Third Parties) in the conduct of activities under any US Commercialization Plan.

AstraZeneca will reimburse FibroGen for such costs incurred by FibroGen, plus a markup of [*] to be applied to FibroGen’s [*] costs only, all pursuant to more detailed provisions to be included in the Co-Commercialization Agreement.
