Buyer Changes. Buyer may at any time make changes within the scope of this Order in any one or more of the following: (a) drawings, designs or specifications; (b) method of shipment or packing; (c) place and time of delivery; (d) amount of Buyer’s furnished property; (e) quality; (f) quantity; or (g) scope or schedule of goods and/or services. Supplier shall not proceed to implement any change until such change is provided in writing by Xxxxx. If any changes cause an increase or decrease in the cost or schedule of any work under this Order, an equitable adjustment shall be made in writing to the Order price and/or delivery schedule as applicable. Any Supplier claim for such adjustment shall be deemed waived unless asserted within thirty (30) days from Supplier’s receipt of the change or suspension notification and may only include reasonable, direct costs that shall necessarily be incurred as a direct result of the change.

Buyer Changes. Buyer may, at any time, make changes to the Products under the Order, including, but not limited to, changes regarding the quantity, design, specifications, engineering level, materials, packaging, shipping date, or time or place of delivery. Seller will promptly implement any such change. Any changes to Product specifications will be managed according to Xxxxx’s change management Procedure.

Buyer Changes. (a) Buyer may make engineering changes to the Products from time to time during the Term of this Agreement by written notification to Seller describing the details of the engineering change. Drawings, designs, and/or specifications required for the change shall also be supplied by Buyer. Buyer shall assume all liability for obsolete materials and products as if they were canceled pursuant to Section 2.3 as a result of an engineering change. Once the Parties have agreed upon any resulting unit price change as determined in Section 4.2(b), Seller shall incorporate the proposed engineering change into the Products on a schedule to be agreed to by the Parties. Seller shall not proceed to implement any proposed engineering change without Buyer’s written authorization.

Buyer Changes. Upon written notice to Seller, Buyer from time to time may direct changes in design specifications relating to any order for product(s) placed thereunder. Within 30 days of receipt of Buyer's change notice, Seller shall deliver to Buyer a quotation (or a request for an extension beyond 30 days) detailing the impact of such change, if any, on price, lead-times, and ability to manufacture the product(s). Buyer retains the right to accept or reject any such quotation. Rejection of any such quotation shall have the effect of suspending Buyer's change notice. All quotations required of Seller under this paragraph 6.1 shall include only those net price increases made necessary because of Buyer's changes. All price savings resulting from buyer's changes shall be shared equally by Buyer and Seller for 12 months. After 12 months all price savings resulting from Buyer's changes will be passed on to the Buyer.

Buyer Changes. Subject to any applicable Law, if, prior to Closing, Buyer requests in writing that Parent make any of the changes to the design, development, construction plans, furniture, fixtures or equipment for the Casino, set forth on Schedule 6.14(a), including work or order stoppages, delays or suspensions associated therewith (“Buyer Changes”), Parent prior to the Joinder Date shall use its commercially reasonable efforts to cause the Member and the Company to, and after the Joinder Date Parent, the Company and the Member shall, agree to such Buyer Changes and cause such Buyer Changes to be made, but Parent may require prior to commencing work on such Buyer Changes that Buyer deposit in escrow with the Deposit Escrow Agent, as an increase in the Pre-Closing Deposit, a reasonable, good faith estimate (based on the quote of the relevant contractor(s) or service provider(s)) of the incremental cost (both in terms of design and development work and construction and furniture, fixtures and equipment (“FF&E”) costs) of implementing such Buyer Changes in full (the “Change Order Amount”) and a reasonable, good faith estimate (based on the quote of the relevant contractor(s) or service provider(s)) of the cost (both in terms of design and development work and construction and FF&E costs) of reversing such Buyer Changes in the event the Closing does not occur (“Buyer Change Reversal Costs”). At Parent’s request, Buyer shall deposit the portion of the Change Order Amount relating to design and development work prior to the commencement of the design and development work and shall deposit the portion of the Change Order Amount relating to construction and FF&E work and the associated Buyer Change Reversal Costs prior to the commencement of the construction and FF&E work, or else none of Parent, the Member or the Company shall have any obligation hereunder with respect to such Buyer Changes. Such written request for Buyer Changes (the “Buyer Change Request”) shall contain reasonably specific information regarding such Buyer Changes as to enable the estimation of the Change Order Amount and Buyer Change Reversal Costs. Such incremental costs shall consist of the costs of making such Buyer Changes (i) as compared to the particular Budget line items to which such Buyer Change correspond and would be made in lieu thereof in the case of Budget line items that have not been spent by or committed to (including by way of purchase orders) by the Company at the time written notificatio...
Buyer Changes. BUYER may request changes in the Products at any time during the Term of this Agreement by submitting a written change request to TRANSACT. For each written change request received from BUYER, TRANSACT will provide BUYER with a written proposal including any applicable non-recurring engineering charge, change in Product prices and/or delivery schedule, and any other change in terms. Such proposal, only if agreed to and signed by an authorized representative of BUYER and TRANSACT, will become part of this Agreement. Any changes that require Tooling, which is paid for by BUYER, are and shall remain the property of BUYER, and TRANSACT may not use such changes or disclose them to others without the prior written consent of BUYER.
