Change Notice. 8.1.5.1 For any change which does not affect the Scope of Work performed under this Subaward, the Subaward Term or Subaward Sum, and does not otherwise materially change any other term or condition under this Subaward, County reserves the right to initiate such change(s) through a Change Notice Program memorandum or an administrative directive which shall all have the same effect. Such Change Notice shall be a written document that is prepared by County at its sole discretion and is signed by County's Contract Manager or designee. A Change Notice will be used to communicate changes which do not warrant an amendment to this Subaward. Such Change Notice shall be provided to Subrecipient at least ten (10) days prior to its effective date and Subrecipient shall adhere to the requirements as specified therein. Subrecipient's failure to comply with the Change Notice(s) may result in County imposing remedies including suspension of payment(s), termination of Subaward or other remedies under this Subaward as determined by County at its sole discretion.

Change Notice. In the event Agility requires any change to the contractual terms, including, without limitation, to any Fees, in this Agreement, Agility shall advise Customer of such changes by notice to Customer (the “Change Notice”). Customer may reject the terms of any Change Notice and terminate this Agreement in writing effective as of end of the then-current term provided Customer delivers notice of such termination to Agility at least thirty (30) days prior to the expiration of then then- current term. If the Customer accepts the terms of the Change Notice or does not respond to Agility within the applicable time period (which shall constitute deemed acceptance), then this Agreement shall continue subject to the revised terms of the Change Notice.
