Deposit Escrow Agent definition

Deposit Escrow Agent shall have the meaning set forth in Section 2.2(a).

• Within twenty-four (24) hours after receiving each Deposit or corrected Deposit, Escrow Agent must verify the format and completeness of each Deposit and deliver to ICANN a notification generated for each Deposit.

• In the event of any controversy regarding the Xxxxxxx Money Deposit, Escrow Agent will not be required to take any action, but may await the result of any proceeding, or at Escrow Agent’s discretion, interplead the Xxxxxxx Money Deposit into a court of competent jurisdiction for determination, and Escrow Agent will thereafter have no liability whatsoever on any basis and for any amount with regards to the Xxxxxxx Money Deposit and this Sale Contract.

• If the parties (including Escrow Agent) shall be in disagreement about the interpretation of this Agreement, or about their respective rights and obligations, or the propriety of any action contemplated by Escrow Agent, or the application of the Deposit, Escrow Agent shall hold the Deposit until the receipt of written instructions from both Buyer and Seller or a final order of a court of competent jurisdiction.
