Changes to Product Specifications. Changes to the Product Specifications shall be made by the written agreement of ECI and Terayon.
Changes to Product Specifications. (a) If the Customer desires any material change to the Product Specifications or manufacturing process, the Customer shall deliver, one-hundred and twenty (120) days prior to the expected date of implementation, written notice to INyX specifying such change desired by the Customer, and INyX shall respond to any such notice within thirty (30) days after INyX's receipt thereof; provided, however, that the Product Specifications or process shall not be supplemented, modified or amended in any respect without the prior written agreement of the Parties. INyX will use Commercially Reasonable Efforts to implement changes within one-hundred and twenty (120) days. If the Customer requests a change to a Product Specification, including the manufacturing process, and INyX agrees that such change is feasible, such change shall be incorporated within the Product Specification pursuant to a written amendment to this Agreement. The Customer shall be responsible for obtaining any required FDA approval prior to implementation of such a change at the Customer's cost.
Changes to Product Specifications. ViroPharma, at its option from time to time, may request a change in the Product Specifications by notifying Alpharma in writing. The parties will work together in good faith to determine whether to implement the proposed change. As soon as possible, but in any event within [***] after the change request is received by Alpharma, Alpharma will notify ViroPharma of any adjustments in compensation or delivery timing necessary to accommodate the changed Product Specifications. The revised Product Specifications will become applicable as of the date mutually agreed to by ViroPharma and Alpharma, and all references thereafter to the “Product Specifications” will refer to the Product Specifications as modified. The new Product Specifications will be attached hereto. Notwithstanding the above provisions, should Alpharma and ViroPharma fail to reach agreement on the implementation of any change in the Product Specifications, Alpharma’s obligation to supply Products pursuant to the then presently effective Product Specifications shall remain unchanged and ViroPharma shall have the right to terminate this Agreement upon [***] months written notice.
Changes to Product Specifications. (a) If Connetics desires any material change to the Product Specifications or manufacturing process, Connetics shall deliver, [*] prior to the expected date of implementation, written notice to Miza specifying such change desired by Connetics, and Miza shall acknowledge in writing any such notice within [*] days after Miza's receipt thereof; provided, however, that the Product Specifications or process shall not be supplemented, modified or amended in any respect without the prior written agreement of the Parties. Miza will use Commercially Reasonable Efforts to implement changes within [*] after Miza's acknowledgement of such notice. If Connetics requests a change to a Product Specification, including the manufacturing process, and Miza agrees that such change is feasible, such change shall be incorporated within the Product Specification pursuant to a written amendment to this Agreement. Connetics shall be responsible for obtaining any required FDA approval prior to implementation of such a change at Connetics' cost.
Changes to Product Specifications. At any time and from time to time, Sourcefire may, by written change order, request changes to the Specifications for any Product (“Requested Change Order”). Upon receipt of the Requested Change Order, the Parties agree that: (a) Patriot shall notify Sourcefire in writing of any impact information as deemed relevant and material by Patriot, particularly with respect to any terms of this Agreement, including, without limitation, cost, Xxxx of Materials, inventory, delivery time and lead times, Product Prices, labor costs and any other additional costs associated therewith; and (b) Patriot will not proceed with a change in the manufacturing process to implement the requested modified Specifications for such Product until: (i) the Parties further agree to a final written change order for such Specifications (“Final Change Order”) incorporating any and all of the Requested Change Order and any changes to the Quarterly Forecast and this Agreement reflecting the impact information provided by Patriot including, without limitation, Product Prices, delivery and lead times, Xxxx of Materials and costs and the effective date of such Final Change Order; and (ii) Sourcefire authorizes the manufacturing of the Products based upon the Final Change Order commencing on the effective date of such Final Change Order. Patriot will not refuse to implement any changes to any Specifications unless Patriot reasonably determines that the requested changes are incapable of being implemented in a commercially reasonable manner.
Changes to Product Specifications. At any time and from time to time, Sourcefire may, by written change order, request changes to the Specifications for any Product (“Requested Change Order”). Upon receipt of the Requested Change Order, the Parties agree that: (a) Premio shall notify Sourcefire in writing of any impact information as deemed relevant and material by Premio, particularly with respect to any terms of this Agreement or any SOW, including, without limitation, cost, Xxxx of Materials, inventory, delivery time and lead times, Product Prices, labor costs and any other additional costs associated therewith; and (b) Premio will not proceed with a change in the manufacturing process to implement the requested modified Specifications for such Product until: (i) the Parties further agree to a final written change order for such Specifications (“Final Change Order”) incorporating any and all of the Requested Change Order and any changes to the Quarterly Forecast (as defined in Section 5.1), this Agreement and the applicable SOW reflecting the impact information provided by Premio including, without limitation, Product Prices, delivery and lead times, Xxxx of Materials and costs and the effective date of such Final Change Order; and (ii) Sourcefire authorizes the manufacturing of the Products based upon the Final Change Order commencing on the effective date of such Final Change Order. Premio will not refuse to implement any changes to any Specifications unless Premio reasonably determines that the requested changes are incapable of being implemented in a commercially reasonable manner.
Changes to Product Specifications. The Product Specifications may not be amended, changed or supplemented by Xxxxxx without the prior written consent of Cadence. Cadence will give Xxxxxx not less than ninety (90) days advanced written notice of an intention to implement voluntary changes in Product Specifications initiated by Cadence so that the Parties can collaborate on a plan to implement any related changes required to meet such changed Product Specifications in a timely and cost-efficient manner. For Product Specification changes mandated by Regulating Groups, Xxxxxx shall use Commercially Reasonable Efforts to expedite such changes upon the request of Cadence. The allocation of the cost of manufacturing and Facility changes required as a result of a change in Product Specifications will be determined by agreement of the Parties on a case-by-case basis as provided in Section 7.4. Xxxxxx will provide Cadence with all information needed to amend the NDA for the Product and other Regulatory Submissions as a result of any approved Product Specification change. Xxxxxx will continue to supply Cadence with Product approved under Cadence’s NDA for the Product and other Regulatory Submissions until such time as the changed Product Specifications are permitted by each of the applicable Regulating Groups, except as the Parties otherwise agree by separate written agreement.
Changes to Product Specifications. Elanco, at its option from time to time, may request a change in the Product Specifications by notifying Altairnano in writing. The parties will work together in good faith to determine whether to implement the proposed change. As soon as possible, but in any event within thirty (30) days, after the change request is received by Altairnano, Altairnano will notify Elanco of any adjustments in compensation or delivery timing necessary to accommodate the changed Product Specifications. The revised Product Specifications will become applicable as of the date mutually agreed to by Elanco and Altairnano, and all references thereafter to the “Product Specifications” will refer to the Product Specifications as modified. Changes to Product Specifications. Subject to Section 4.3, Cadence Product Specifications may not be amended, changed or supplemented by Bxxxxx without the prior written consent of Cadence. Except as provided in Section 4.3, Cadence will give Bxxxxx not less than ninety (90) days advanced written notice of an intention to implement voluntary changes in Product Specifications initiated by Cadence so that the Parties can collaborate on a plan to implement any related changes required to meet such changed Product Specifications in a timely and cost-efficient manner. Bxxxxx will continue to supply Cadence with Product approved under Cadence’s existing NDA and other Regulatory Submissions until such time as the changed Product Specifications are permitted by each of the applicable Regulating Groups in the Territory, except as the Parties otherwise agree by separate written agreement.

Upon receipt of the Requested Change Order, the Parties agree that: (a) AIC shall notify Sourcefire in writing of any impact information as deemed relevant and material by AIC, particularly with respect to any terms of this Agreement, including, without limitation, cost, Xxxx of Materials, inventory, delivery time and lead times, Product Prices, labor costs and any other additional costs associated therewith; and (b) AIC will not proceed with a change in the manufacturing process to implement the requested modified Specifications for such Product until: (i) the Parties further agree to a final written change order for such Specifications (“Final Change Order”) incorporating any and all of the Requested Change Order and any changes to the Forecast and this Agreement reflecting the impact information provided by AIC including, without limitation, Product Prices, delivery and lead times, Xxxx of Materials and costs and the effective date of such Final Change Order; and (ii) Sourcefire authorizes the manufacturing of the Products based upon the Final Change Order commencing on the effective date of such Final Change Order. AIC will not refuse to implement any changes to any Specifications unless AIC reasonably determines that the requested changes are incapable of being implemented in a commercially reasonable manner.
