SUCCESSOR AGENCY. The City controls the Successor Agency. Until Closing, City shall, upon learning of any fact or condition which would cause any of the warranties and representations in this Section 206.1 not to be true as of the Closing, immediately give written notice of such fact or condition to Developer. Such exception(s) to a representation or warranty shall not be deemed a breach by City hereunder, but shall constitute an exception which Developer shall have a right to approve or disapprove if Developer, in its reasonable discretion, determines such exception would materially adversely affect the value, development, insurability, financing, maintenance, and/or operation of the Project by Developer or Developer’s exposure to risk or liability with respect to the Project. If Developer elects, acting in its sole discretion, to close the Escrow following disclosure of such information, City’s representations and warranties contained herein shall be deemed to have been made as of the Closing, subject to such exception(s). If, following the disclosure of such information, Developer, acting in its sole discretion, elects to not close Escrow, then Developer shall give notice to City of such election within thirty (30) days after disclosure of such information, Escrow Agent shall return all funds and documents to the party that delivered the same, and this Agreement and the Escrow shall thereafter automatically terminate, and neither party shall have any further rights, obligations or liabilities hereunder. The representations and warranties set forth in this Section 206.1, subject to any such exceptions, shall survive the Closing.

SUCCESSOR AGENCY. The Agency was dissolved on February 1, 2012 in accordance with ABX1 26. On February 1, 2012, the City assumed the duties and obligations set forth in ABX1 26 as “successor agency” (as defined in ABX1 26) for the Agency (the “Successor Agency”), including, without limitation, the obligations of the Agency under this Agreement and the Related Documents to which the Agency was a party. References throughout this Agreement to “Agency” shall mean the Agency or the Successor Agency as the context may require. Pursuant to the provisions of ABX1 26, the Successor Agency is bound by the covenants and agreements of the Agency set forth in this Agreement and the other Related Documents to which the Agency was a party.

A reference to the Texas Juvenile Probation Commission (Commission) or the Texas Youth Commission is a reference to any successor agency or entity that may come into existence during the term of this Contract. All rights, duties and obligations set forth herein shall be unaffected as to the parties to this Contract and shall transfer to the successor of the Texas Juvenile Probation Commission in all respects.
