Future Activities. Following the Effective Time and except as set forth in any Ancillary Agreement, no member of either Group shall have any duty to refrain from (a) engaging in the same or similar activities or lines of business as any member of the other Group, (b) conducting its business with any potential or actual supplier or customer of any member of the other Group or (c) engaging in, or refraining from, any other activities whatsoever relating to any of the potential or actual suppliers or customers of any member of the Group.
Future Activities. Following the Effective Time and except as set forth in any Ancillary Agreement, no member of either Group shall have any duty to refrain from (a) engaging in the same or similar activities or lines of business as any member of the other Group, (b) conducting its business with any potential or actual supplier or customer of any member of the other Group or (c) engaging in, or refraining from, any other activities whatsoever relating to any of the potential or actual suppliers or customers of any member of the Group. In furtherance and not in limitation of the foregoing, JAX hereby acknowledges and agrees that (i) the FNF Group, through certain of its Subsidiaries, is currently engaged in the restaurant business, which is or may be directly competitive with the business of the JAX Group, and (ii) the FNF Group shall continue to be permitted to engage in such business following the Effective Time.

Future Activities. The IT Services to be provided shall be provided with respect to the Business, which shall include all of the assets and activities of the Company, as now owned or conducted or as may be owned or conducted in the future. Notwithstanding the foregoing, in the event the Company acquires an asset or begins performing an activity outside the oil and gas business or scope of Gulf's normal course of business, the Company may request that provision of IT Services in respect of such new assets or activity be excluded from the Business. If, in Gulf's reasonable opinion, such asset or activity is in the normal course of Gulf's and the Company business, Gulf may submit the question of whether or not the asset or activity should be part of the Business to the Resolution Committee as contemplated by Section 3.4, the decision of which shall be final and binding. If the asset or activity is agreed or determined not to be within the oil and gas business or the normal course of Gulf's business, Gulf shall provide no IT Services in respect of such asset or activity.
Future Activities. Each Party agrees that, to the best of its knowledge, none of its employees or agents conducting activities on its behalf under the Agreement is currently or will be during the term of this Agreement, debarred under 21 U.S.C. §335a, disqualified under 21 C.F.R. §312.70 or §812.119, sanctioned by a Federal Health Care Program (as defined in 42 X.X.X §0000 a-7b(f)), including without limitation the federal Medicare or a state Medicaid program, or debarred, suspended, excluded or otherwise declared ineligible from any other similar Federal or state agency or program. In the event a Party learns that any such employee or agent becomes so debarred, sanctioned, suspended, excluded or declared ineligible or is the subject of proceedings that may result in such debarment, sanction, suspension, exclusion or ineligibility, it will promptly so notify the other Party and will no longer allow such employee or agent to conduct activities under this Agreement.
Future Activities. 5.5 UCL is committed to long-term engagement and outreach with the school sector. The UCL Academy in Camden, an all-ability, 11–18 non-selective school, is scheduled to open in September 2012. It is currently intended that the school will have Year 7 and Year 12 entry points. The academy is sponsored solely by UCL and is being delivered in collaboration with the London Borough of Camden. Design plans for the academy include space to allow it to be used as a hub for classroom-based outreach activity across Camden. Development of the UCL Academy has brought UCL into contact with different layers of education decision-makers within Camden. These links have helped to enhance UCL‟s relationships within the borough and continue to inform the development of outreach projects and policy.
