Subcontractor’s Work. 1.1 Subcontractor shall be contracted as an independent contractor and shall provide and furnish all labor, tools, materials, equipment, services, supervision, training, and administration necessary for the proper and complete performance and acceptance of the work identified in the Purchase Order (the “Work”) in accordance with the Subcontract Documents.

Subcontractor’s Work a. Subcontractor shall perform all work and shall furnish all supervision, labor, materials, plant, hoisting, scaffolding, tools, equipment, supplies and all other things necessary for the construction and completion of the work described in Schedules A and B to Exhibit II and work incidental thereto (hereinafter “Work”) in strict accordance and full compliance with the terms of this Subcontract and to the satisfaction of Contractor and Owner. The Subcontractor’s Work is not limited by any titles on drawings or headings in the specifications, it being the intention of the parties that all items and services customarily performed with the Work described in Schedules A and B of Exhibit II shall be performed by Subcontractor, including any and all items and services consistent with, contemplated by and reasonably inferable from the Subcontract and Contract Documents as necessary to provide a complete and fully functioning scope of Work, whether or not such items and services are specifically mentioned therein, unless specifically excluded from Schedules A and B of Exhibit II. Subcontract hereby represents that it has fully reviewed the requirements of this Subcontract (including without limitation all plans and specifications and all requirements of the Contract Documents) in preparation for execution of this Subcontract. Therefore, any error, ambiguity, inconsistency or omission in the Subcontract and/or Contract Documents of which the Subcontractor had, or should have had, knowledge (taking into consideration the intent of the scope of Work provided in Schedules A and B of Exhibit II and the Contract Documents and that which is necessary to produce a full, complete and functional scope of Work) shall not be the basis for any increase in the amount payable under this Subcontract or time required to perform the Work. Should any errors, ambiguities, inconsistencies or omissions appear in the Subcontract and/or Contract Documents of which Subcontractor did not have, or should not have had, knowledge before execution of this Subcontract, it shall be the duty of the Subcontractor to notify Contractor of same in writing in accordance with the notice requirements contained herein. Upon receipt of such notice, Contractor shall instruct Subcontractor as to the measures to be taken and Subcontractor shall comply therewith.
Subcontractor’s Work. The Contractor contracts with the Subcontractor as an independent contractor to perform all services necessary or incidental to complete the scope of work for the Project described on the attached Exhibit A in strict accordance with the Contract Documents (the “Scope of Work”). The Subcontractor shall perform such work (the “Subcontractor’s Work”) under the general direction of the Contractor and in accordance with this Subcontract Agreement and the Contract Documents.
Subcontractor’s Work. Subcontractor shall perform, furnish and pay for all Work, supervision, labor, materials, equipment, tools, trucks, machinery, housing, scaffolding, hoists, overhead protections, layout, cutting, blocking, patching, cleaning, storage and implements, means of access, services, facilities, trade permits, applicable taxes, freight, insurance, and all other things necessary, required, incidental or related to the construction, improvement, installation and completion of the Work in strict accordance with the terms and provisions of the Subcontract Documents, and as further described within Exhibits A and B attached hereto, and to the satisfaction of Owner, Architect, Lenders (as the case may be), and Contractor. All Work covered by this Subcontract shall be performed in a skillful and workmanlike manner and, unless otherwise expressly provided in the Contract Documents, with materials and equipment being both new and of the best kind and grade for the purpose intended. Subcontractor acknowledges the intention of the Subcontract Documents to require finished work, tested and ready for inspection, so that a certificate of occupancy and final inspection can be obtained. Any apparatus, appliance, materials or Work not indicated on the drawings but mentioned in the specifications, or vice versa, or any incidental accessories necessary to make the Work complete and in all respects and ready for operation, even if not particularly specified, shall be furnished, delivered and installed by the Subcontractor without additional expense to Contractor or Owner. Subcontractor agrees that in the event a claim, dispute, controversy or other disagreement arises concerning or relating to the scope of Work included in this Subcontract (the “Disputed Work”), Subcontractor shall diligently prosecute the Disputed Work as directed by Contractor and shall pursue any rights to relief it may have under the Subcontract per Paragraph 17 hereof. Subcontractor agrees that all its lower-tier suppliers and subcontractors shall be subject to all terms and conditions of this Subcontract and the Contract Documents. The term “Subcontractor” shall mean and shall apply equally to the Subcontractor’s lower tier subcontractors and suppliers. Subcontractor’s Work. In order for the PDBT to be entitled to an adjustment in the Contract Price based upon the work of a subcontractor, the PDBT shall submit documentation in accordance with section 7.21.5(a) through 7.21.5(f) above for the subcontractor’s work. The PDBT shall be entitled to a markup on the subcontractor’s costs (direct and markup) equal to ten percent (10%) on the first two-thousand ($2,000) dollars of the subcontractor’s costs, and five percent (5%) on work in excess of two-thousand ($2,000) dollars of the subcontractor’s costs.

Except as may be specifically provided by the terms of this Subcontract Agreement, Subcontractor shall assume all obligations, risks and liabilities which Contractor has assumed towards Owner in Contractor’s contract with Owner.
Subcontractor’s Work. Subcontractor shall complete the work described on Exhibit A attached hereto and incorporated herein by this reference (the “Work”). Subcontractor shall commence the Work within fifteen (15) business days after execution of this Agreement. Subcontractor may use subcontractors to perform any or all of the Work. With respect to the Work covered by this Subcontract and any individual Work Order, and except as expressly modified herein, Subcontractor shall have all rights which Contractor has under the Contract Documents, and Subcontractor shall assume all obligations, risks and responsibilities which Contractor has assumed towards the Owner, and third parties as applicable, in the Contract Documents, and Subcontractor shall be bound to Contractor in the same manner and to the same extent that Contractor is bound to the Owner or said third parties. In case of a conflict between this Subcontract Agreement and the Contract Documents as incorporated herein, pursuant to each Work Order, the terms of the Work Order shall prevail.
