Sales Tools. Sales Tools are materials produced by the Company showing its copyright or trademark designation, such as Company and product brochures, artwork and text contained in the material produced by the Company as Sales Tools. These Sales Tools are available to Distributors for their use in promoting their independent businesses. Independent Sales Tools Federal and State Regulatory Agencies have laws that define specific requirements regarding third party dietary supplement literature; please contact NXR Global’s Compliance Department. Independent Sales Tools are items produced by Distributors in accordance with the following: • An independent Sales Tool may be used only after it has been reviewed by the Company and written notification from the Company has been received by the Distributor. • Distributors should allow a minimum of two weeks for the Company to complete its analysis of such items. It is therefore important to schedule promotions accordingly. • Lack of notification to a Distributor or lapse of time after submission of a proposed Independent Sales Tool for review does not constitute approval or authorization to use the item. • No modification shall be made to any Independent Sales Tool after the Company has reviewed it. Any modification of a reviewed item converts it to a new non-reviewed item and must be resubmitted to the company for review. • The review status of an Independent Sales Tool shall terminate one year after the Company has reviewed it. If a Distributor desires to use an Independent Sales Tool for longer than one year, he/she must resubmit the item for review prior to the one year from the initial review. • The Company may charge a reasonable fee for reviewing an Independent Sales Tool and may require the Distributor to sign an Indemnification Agreement relating to the Independent Sales Tool. • The Company's review process does not establish that an Independent Sales Tool complies with the applicable federal, state or local legal and regulatory requirements. The Company, by its analysis and review, does not warrant the propriety or legality of the reviewed Independent Sales Tool. Distributors are strongly advised to obtain the advice of their legal counsel regarding the legality and regulatory compliance of Independent Sales Tools they desire to produce and distribute, prior to submitting them to the Company for review. • Independent Sales Tools are used for advertising only in the medium (for example; newspaper, magazine) for which the...

Sales Tools. We will give you to use during your agency service such equipment and sales tools as we think necessary to help you obtain individual business. We may, at our option, charge you a one time or a continuing fee for one or more of the items of equipment and sales tools. We have the right to take any fee from your earnings.
Sales Tools. When acting as Dealer, each Party will only use the other Party’s sales tools (e.g., NEO and Xxxxx Xxxxx) to create Customer accounts, run credit checks, execute Customer Agreements, and sell such other Party’s Products (“Sales Tool”). Neither Party will use a third-party external application to create Customer accounts, run credit checks, execute Customer Agreements, and sell the Products of the other Party.
Sales Tools. Business Partner may create her or his own sales aids, presentations, advertising and promotional materials (“Sales Tools”). To ensure that Sales Tools are not deceptive and contain only substantiated claims, all Sales Tools must contain only those product claims and income claims published by LifeRegen, clearly identify they were created by an independent Business Partner and identify the Business Partner. Business Partner shall not sell or attempt to sell such Sales Tools. Business Partner may make Sales Tools available to other Business Partners free of charge. LifeRegen reserves the right to review any Sales Tools to ensure compliance with this Agreement. Business Partner hereby grants LifeRegen an irrevocable license to use the Sales Tools and make them available to other Business Partners for use at its discretion, and waives all claims against LifeRegen, its officers, directors, owners, employees, agents and other Business Partners for such use of the Sales Tools. In addition, LifeRegen may create Sales Tools that are available for purchase by Business Partners.
Sales Tools. Yahoo! shall license to Microsoft its Sales Tools for Microsoft to use solely in connection with Microsoft’s Paid Search Services on a perpetual, non-exclusive basis in accordance with the terms of the License Agreement. Yahoo! shall not have any support or other obligations with respect to such Sales Tools beyond the initial delivery to Microsoft of the source code and available documentation for such Sales Tools as set forth in the Supplemental Technology Schedule to the License Agreement to be entered into by the parties concurrently with this Agreement, and such training on the Sales Tools as reasonably necessary to facilitate the operation and maintenance of such Sales Tools by Microsoft.”
Sales Tools. Aventus1 makes a wide variety of Sales Tools available to IDs to use to promote their independent Aventus1 businesses. However, the Company recognizes that some IDs may wish to create and use their own Sales Tools as well. If an ID wishes to create and use his or her own Sales Tools (including, without limitation, advertising materials, promotional materials, and all other marketing methods), the proposed Sales Tool(s) must be submitted to the Company and receive written approval before they can be used or made public. Unless the ID has received written approval to produce and use a proposed Sales Tool, the request shall be deemed denied. Aventus1 reserves the right to refuse approval for an ID-created Sales Tool at its sole discretion. Approval requests must be submitted to xxxxxxxxxxxx@xxxxxxx0.xxx. Aventus1 further reserves the right to rescind approval for any previously approved Sales Tools, and IDs waive all claims against Aventus1, its officers, directors, owners, employees, and agents for damages, expenses, costs, or remuneration of any other nature arising from or relating to such rescission. IDs who receive written authorization from Aventus1 to produce and publish Sales Tools may make approved Sales Tools available to other IDs and may sell such Sales Tools to other IDs provided the Sales Tools are sold to other IDs at the selling ID’s cost. That is, IDs may not make any profit from the sale of Sales Tools to other IDs; they may only cover their own expenses for the production of the Sales Tools that they sell. Any sale or attempt to sell Sales Tools to another ID at a profit will result in the termination of the offending ID’s Aventus1 business. ID-produced Sales Tools must not contain any product, income, or compensation plan claims unless such claims are in compliance with Policies 24 through 26, below.

Sales Tools. Promptly after the date of this Agreement and thereafter in a timely fashion, RenSoft shall provide PB with all appropriate and necessary sales tools and data available to RenSoft and needed by PB to effectively market and sell the Licensed Software, including, without limitation, fact finders, ROI calculation information, RFP data library (e.g., descriptions of product architecture, features, and capabilities), product/feature presentations and collateral, demonstration copies of software (with appropriate data and scripts), boiler plate project plans and templates or examples of Conference Room Pilot Summary Documents, updates to all of the foregoing as they are prepared, and such other items as PB may reasonably request that RenSoft has available.
Sales Tools. Consultants must use only Qyral-approved sales aids, advertising, promotional materials, and marketing methods (collectively “Sales Tools”) when promoting the Qyral business or Qyral’s products or services. These materials are available in the Click Up Resource Library of the Consultant’s Back Office. Any attempt to create and sell Sales Tools to another Qyral Consultant will result in the suspension or termination of the offending Consultant’s independent replicated website and The Agreement.

  • SALES MATERIALS 4.1 LIFE COMPANY will furnish, or will cause to be furnished, to TRUST and ADVISER, each piece of sales literature or other promotional material in which TRUST or ADVISER is named, at least ten (10) Business Days prior to its intended use. No such material will be used if TRUST or ADVISER objects to its use in writing within seven (7) Business Days after receipt of such material.

  • Additional Products and Services Subject to the allocation of funds, the CPO may add similar equipment, supplies, services, or locations, within the scope of this Agreement, to the list of equipment, supplies, services, or locations to be performed or provided by giving written notification to Contractor. For purposes of this Section, the “Effective Date” means the date specified in the notification from the CPO.   • Marketing Materials (a) During the term of this Agreement, the Sub-Adviser agrees to furnish the Manager at its principal office for prior review and approval by the Manager all written and/or printed materials, including but not limited to, PowerPointÒ or slide presentations, news releases, advertisements, brochures, fact sheets and other promotional, informational or marketing materials (the “Marketing Materials”) for internal use or public dissemination, that are produced or are for use or reference by the Sub-Adviser, its affiliates or other designees, broker-dealers or the public in connection with the Series, and Sub-Adviser shall not use any such materials if the Manager reasonably objects in writing within five business days (or such other period as may be mutually agreed) after receipt thereof. Marketing Materials may be furnished to the Manager by first class or overnight mail, facsimile transmission equipment, electronic delivery or hand delivery.

  • Distributor The Trust hereby appoints the Distributor as general distributor of shares of beneficial interest (“Series shares”) of the Trust’s WCM Funds series (the “Series”) during the term of this Agreement. The Trust reserves the right, however, to refuse at any time or times to sell any Series shares hereunder for any reason deemed adequate by the Board of Trustees of the Trust.
