The Selling definition

The Selling. ▇▇▇▇▇ Entities shall specify in the Drag/Tag Notice the number of shares to be sold by each Stockholder, which shall equal the product of the Stockholder's Percentage times the number of Drag/Tag Shares (the "Drag Along Pro Rata Share").
The Selling. Member shall give written notice (the "First Notice") to each other Member, by certified mail or personal delivery, of its intention to so transfer such interests, furnishing to each other Member a copy of the Offer.
