No waiver by either Party of any breach of, or of compliance with, any condition or provision of this Agreement by the other Party shall be considered a waiver of any other condition or provision or of the same condition or provision at another time.
Each Party shall keep confidential the existence, contents and terms of this Agreement and all non-public information received from the other Party in connection herewith, except to the extent disclosure is required by applicable law, regulation, stock exchange rule, court order or professional duty, in which case the disclosing Party shall, to the extent legally permissible, give prior notice to the other Party and reasonably cooperate regarding the timing and content of such disclosure.
Each Party (as “Receiving Party”) agrees to hold all Confidential Information of the other Party (as “Disclosing Party”) in strict confidence and to use the same degree of care to protect such Confidential Information as it uses to protect its own most sensitive proprietary information, but in no event less than reasonable care.
During such notice period, the Parties shall continue to perform their respective obligations and shall use commercially reasonable efforts to minimize disruption to the collaboration and transition activities to the other Party or a designated third party.
Each Party shall provide the other Party with reasonable advance notice and an opportunity to review and comment upon any proposed securities filing that references this Agreement, the collaboration, or the other Party’s Confidential Information, to the extent such review is legally permissible.
