For this reason, except as expressly contemplated in this Agreement, each Party hereby waives and relinquishes any right it might otherwise have to challenge its failure to meet any performance or rights election date applicable to it on the basis that its late action constitutes substantial performance, to require the Other Party to show prejudice, or on any equitable grounds.
