Non-Standard Services. Non-standard services will be provided at the following aggregate departmental hourly personnel rates. · IT Application services at $*** per hour · IT Infrastructure services at $*** per hour Non-standard services may include any of the following services, in addition to any other non-standard services as may be mutually agreed to from time to time, and will be billed as incurred but not less frequently than quarterly in arrears: · Deviation from the Service Provider’s standard desktop suite · Review, approval and implementation of any non-standard services and technologies due to the shared infrastructure employed by the Service Provider, including: · Hardware · Software · Third Person services · Consulting fees (both internal and external) · Other costs required to put the service/functionality in place, which may also require an ongoing support and maintenance fee · Website services · Including implementation of customer facing websites · Creation of a web site for the Company which will incorporate basic functionality to be agreed upon · Implementation of extensive functionality, e.g. investor portals, advisor portals, multilingual support, etc. · Employee facing web sites or intranet utilizing SharePoint, or another tool, as its website creation and content management tool · Services provided to locations other than existing locations of the Corporate Offices may be considered non-standard and billed accordingly · Remote and HQ offices setup, relocation, remote decommissioning or divesting from the Service Provider · Significant upgrades in hardware or software · Services relating to separation from the Service Provider, which includes but may not be limited to isolating standard service(s), transferring web site management to another servicer, separating operations into a standalone network and migrating data from the Service Provider environment to some other environment · Service initiation work (connectivity, phone service, separate database/ASP work) · Software/hardware research, including work with consultants to determine appropriate software or hardware selection for specific business activities or implementation of such software/hardware [***] Confidential material redacted and filed separately with the Commission. Non-Standard Services. Non--standard services will not be delivered under this Agreement. Non-standard services include but are not limited to: installation of new products or services; project work; implementation of new products or services; purchases of new technologies.
Non-Standard Services. Harbortouch shall, at its sole discretion, for the additional charges , provide services and make required repair, redesign, reinstall, reconfigure or replace the Equipment when either is required due to causes not attributable to normal wear and tear, including, but not limited to:(a) the failure of Merchant to continually maintain the Merchant Location in conformance with commercially reasonable standards; (b) impairments in the performance of the Equipment resulting from changes in the design of the Equipment made by Merchant or mechanical, electrical, or electronic interconnections made by Merchant; (c) damage caused by accidents, natural disasters or the negligence of, or improper use or misuse of, the Equipment by Merchant; (d) damage or necessity of repair resulting from unauthorized maintenance by Merchant or any third party other than Harbortouch or its authorized representative; (e) damage or repair necessitated as a result of relocation of the Equipment; (f) change in laws or Association rules that require service, repair, or replacement above normal day to day maintenance; (g) any third party hardware or software in conjunction with the use of the Equipment without Harbortouch's express written consent; or (h) theft of the Equipment.
Non-Standard Services. If you terminate a Service provided by NCC using non-standard services or hardware procured specifically for Subscriber then you will be liable to pay to NCC an early termination fee equal to 100% of the total Fees payable for the Terminated Services for the remainder of your Contract Term. For the avoidance of doubt, all Services shall be deemed to be Standard Services unless clearly indicated otherwise by NCC.

Non-Standard Services. This schedule provides a detailed list of the Non-standard or customised Services that are to be delivered to the Client under the terms of this Agreement. INTERNAL AUDIT Variations to this agreement are anticipated to relate to unplanned work and in particular defalcations. Should a need for a variation arise this should be raised with the Chief Auditor or their nominated representative. Any days required over the allocated days will be subject to negotiation with the Chief Auditor or their representative. Depending on the nature of the unplanned work an additional charge may be made to the Trust. Unplanned items may require a quick response and such work may be agreed with the Chief Executive of the Trust or their nominated representative through e-mail prior to an Audit Brief being issued; a retrospective Audit Brief will be issued.
Non-Standard Services. Franchisee may not use the Licensed Marks for or in connection with the Non-Standard Services, except that the same may be offered from the Premises to the extent permitted under SECTION 14.02 of this Agreement. If Franchisee provides any Non-Standard Services, it will provide conspicuous notice to the public by signage, disclaimers on invoices and/or other means that such Non-Standard Services are not provided by nor affiliated with Big O. Franchisee acknowledges that Big O does not provide training, supervision or support in connection with the Non-Standard Services. Franchisee shall conduct the Non-Standard Services in compliance with all applicable laws, rules and regulations and in a safe and appropriate manner. Franchisee shall immediately cease or modify any Non-Standard Services that present a threat to the health or safety of the public or any individual and/or that could cause the occurrence of any damages. Franchisee hereby agrees to indemnify and hold Big O harmless from and against any and all claims or liabilities arising out of or in connection with Franchisee's offer, sale or provision of Non-Standard Services.
Non-Standard Services non-standard and/or bespoke Services required by the Retail Service Provider.
Non-Standard Services. Non-Standard Services are provided on a flat dollar fee or an hourly fee depending on the service requested. The Plan Sponsor can pay the applicable fee in any manner as agreed to by the Service Provider. Any fees in relation to Non-Standard Services that have been agreed to by the Service Provider will be described in Schedule A - Fees. Non-Standard Services will include (but not be limited to) any customization to the Contract, Member booklets, forms or providing additional reporting, communications or investment information material or providing any reporting, communications or investment information material at a different frequency or manner other than what the Service Provider provides as a standard service. Upon the Plan Sponsor’s request the Service Provider will provide an estimate of the cost prior to providing the applicable Non-Standard Service. The Plan Sponsor shall provide the Service Provider with ninety (90) days’ written or Electronic notice of any amendments to the Plan that affects the Non-Standard Service as outlined in the Agreement.
