Consulting Fees means fees charged by a third party actuary, benefits consultant or accountant resulting solely from the correction of an actual or potential Breach of Fiduciary Duty, but excluding any fees, costs or expenses associated with: (1) a routine or regularly scheduled Plan audit; or (2) an audit or review for the purpose of identifying or finding the Breach of Fiduciary Duty or assessing the extent of Loss resulting from such Breach of Fiduciary Duty.
Consulting Fees means the fees to be paid to the Consultant by the Corporation as set out in Schedule "B" attached hereto and forming part hereof;
