Local Board Membership. This agreement acknowledges that WIOA Section 107(c)(1)(A) authorizes the XXXX to appoint members to the STLWDB per the criteria established under WIOA section 107(b). The XXXX has the sole authority to appoint members to the Board through his/her role as the official signatory on behalf of the XXXx as outlined in the Interlocal Agreement between the XXXx of the ten counties comprising the STLWDA. It is therefore the responsibility of the XXXX to appoint members to serve on the Board that meet the required Board composition and minimum number. In accordance with the criteria established under WIOA Section 107(b) and the Workforce Services PolicyLocal Governance, the XXXX shall: • Receive and sign the required nomination form for all local Board nominees; • Approve the removal of any member who does not resign if that member becomes ineligible to serve on the Board; • Make all reappointments of Board members by one full quarter of the term of expiration; and • Ensure that employees of entities servingas the fiscal agent, Board staff, One-Stop Operator(s), and American Job Center Career Services provider(s) are prohibitedfrom serving on the Board.

The Board shall consist of membership as outlined in Section 107(b)(2) of the Act and representation may be determined by recommendation of the XXXx of each of the ten (10) counties that comprise STLWDA. The Board shall include representatives of business in the local area, workforce, education, and government and community development as noted below. • Business: A majority of local Board members, at least 51%, must be representatives who are owners, chief executive or operating officers, or other business executives, or employers with optimum policymaking or hiring authority; • Workforce: Not less than twenty (20) percent of the members must be workforce representatives. Such representatives must include: o Two or more representatives of labor organizations; and o One or more representatives of a joint labor-management registered apprenticeship program; and • Education: Members included in this category shall include the following: o At least one member must be a representative of a provider of adult education and literacy activities under Title II of WIOA. o At least one member must be a representative of an institution of higher education that provides workforce training (including community colleges). • Governmental or Community Development: The Members must include at...
Local Board Membership. WIOA Section (107)(c)(1)(A) authorizes the XXXX to appoint the members of the LWDB in accordance with the criteria established under Section 107(b) of the WIOA. Authority to appoint members to the LWDB lies solely with the Chief Local Elected Official. As ex-officio members of the Board, the local elected officials have all rights and privileges stated within the by-laws of the Northwest TN Workforce Board, Inc. Membership: The number of the members of the Board shall be not less than the minimum number required under the Act as set forth in the Workforce Innovation and Opportunity Act of 2014, as amended from time to time. The number of members may be increased or decreased from time to time by the chief elected officials of the counties within the LWDA, but no decrease shall have the effect of shortening the term of an incumbent officer or member or reducing the number of members below the minimum number required under the Act. The Local Elected Official of each of the counties encompassed within the LWDA may solicit nominations of members of the Board in accordance with the criteria established by the Governor of the State of Tennessee as described in Workforce Services PolicyLocal Governance, as amended from time to time, and in accordance with the requirements of LWDB composition as described below. A majority of the members of the local board shall be representatives of the private sector as described in paragraph (2)(A) in the WIOA, Section 107. The local elected officials within the LWDA may execute an agreement that specifies the respective roles of the individual local elected officials (a) in the appointment of the members in accordance with the criteria established as provided below; and (b) in carrying out any other responsibilities assigned to such officials under the Workforce Innovation and Opportunity Act of 2014. The Governor, in partnership with the State board, shall establish criteria for use by chief local elected official in LWDA 12 for appointment of members of the Board.   • Board Committees The Director hereby agrees to sit in the relevant committees of the Board and to perform all of the duties, services and responsibilities necessary thereunder.

  • Associate Directors (A) Any person who has served as a director may be elected by the Board of Directors as an associate director, to serve during the pleasure of the Board.

  • Board Composition and Board Designations The Company shall ensure that: (i) the qualifications of the persons serving as members of the Board of Directors and the overall composition of the Board comply with the Sxxxxxxx-Xxxxx Act, with the Exchange Act and with the listing rules of the Exchange or any other national securities exchange, as the case may be, in the event the Company seeks to have its Public Securities listed on another exchange or quoted on an automated quotation system, and (ii) if applicable, at least one member of the Audit Committee of the Board of Directors qualifies as an “audit committee financial expert,” as such term is defined under Regulation S-K and the listing rules of the Exchange.
