Fitting Out. (a) To fit out the premises at Party B’s expense in accordance with plans and specifications approved by Party A (which approval shall not be unreasonably withheld) and the relevant Government departments and competent authorities in a good and proper workmanlike and diligent manner with good quality materials and in all respects in a style and manner appropriate to the Premises to the reasonable satisfaction of Party A (but any approvals given under this Article 3.2 shall not impose on Party A any liability in respect of any inadequacy or deficiency in the drawings, specifications or works). For the avoidance of doubt, if Party B intends to carry out any structural works or alterations to the Premises, other than complying with the requirement under this Sub-Article, Party B is obliged to supply any additional information as may be reasonably required by Party A or the Manager for the purpose of processing the approval application by Party B;
(b) Not to commence any fitting out works until Party A’s approval to the fitting out plans and specifications has been obtained (which approval shall not be unreasonably withheld) and all necessary approvals licenses or permits have been obtained from the relevant Government departments and competent authorities and all sums (including, without limitation the fitting out deposit, party A’s vetting fees, temporary services charges and debris removal charges (if any)) required to be paid prior to commencement of the works in accordance with the Fitting Out Guidelines have been paid and that the registration procedures for overseas staff or workmen of Party B with the Ministry of Public Security in PRC have been completed;
(c) Not to vary the approved fitting out plans and specifications without Party A’s approval (which approval shall not be unreasonably withheld);
(d) To carry out all fitting out works in compliance with the approved fitting out plans and specifications and the Fitting Out Guidelines and with all legislation and all requirements of the Development’s insures and of any utility supplier. Any Party A’s approval given hereunder shall not constitute any representation that such legislation and requirements have been complied with;
(e) In installing, altering or connecting to any Service Media, electrical installations or fire fighting apparatus and system to use only a contractor nominated by Party A and for any other works to use only a contractor approved by Party A (which approval shall not be unreason...
Fitting Out. (a) The Tenant shall take possession of the Demised Premises on the date specified in paragraph 6 of Schedule 1 (the “Date of Possession”).
(b) The Tenant shall be deemed to have taken possession of the Demised Premises on the date set out in the Landlord's notice regardless of whether the Tenant has actually done so. The Landlord shall not be liable for any delay of the Tenant taking possession of the Demised Premises.
(c) The Tenant shall be given a rent-free Fitting Out Period specified in paragraph 9(a) of Schedule 1 (the “Fitting-Out Period”) from the Date of Possession to carry out the fitting out works. The Base Rent and Service Charge will be charged from the expiry of the Fitting Out Period, regardless of whether the Tenant is ready for business, or from the FITTING-OUT WORKS FITTING-OUT DEPOSIT commencement date of business, whichever is earlier unless otherwise stated.
(a) The Tenant shall carry out fitting-out works (the “Fitting-Out Works”) in the Demised Premises at its own expense and shall obtain all necessary approvals and licences (if any) from the relevant authorities at the Tenant’s own cost and absolute responsibility in order to carry out the Fitting-Out Works.
(b) The Demised Premises will be handed over to the Tenant in its “as is, where is” condition and the Landlord shall not be obliged to provide any other item(s) or works.
(c) In carrying out the Fitting-Out Works, the Tenant shall comply with the requirements and abide by the terms set out herein and the Tenants' Fitting-Out Manual which has been provided.
(d) Before commencing Fitting-Out Works, the Tenant shall effect a comprehensive all risks insurance policy and public liability policy covering the period from the date of commencement of the Fitting-Out Period to the date of the completion of the Fitting-Out Works for such amounts and with such insurers and named insured as the Landlord shall require which shall not exceed S$3,000,000.
(e) Any delay in carrying out or completing the Fitting-Out Works shall not be a ground for postponing the Term Commencement Date or the payment of Base Rent, Service Charge and other monies reserved by this Lease, or relieve the Tenant in any way from performance and observance of the obligations, covenants, conditions and provisions on the Tenant's part to be performed and observed.
5.3 The Tenant shall before commencing Fitting-Out Works in accordance with this clause, pay the Fitting-Out Deposit specified in paragraph 9(b) of Schedule 1 a...
Fitting Out. The Tenant shall fit out the interior of the Premises in accordance with such plans and specifications as shall have been first submitted by the Tenant to and approved in writing by the Landlord under Clause 5.3(b) hereof in a good proper and workmanlike fashion using good quality materials and in all respects in a style appropriate to a first class commercial office and shall maintain the Premises including the furnishings, fixtures and fittings therein or thereto (if any) in good and substantial repair and condition to the reasonable satisfaction of the Landlord throughout the Term Provided That nothing herein shall make the Landlord responsible for any damages or claims arising from any defects in the design or quality of the fitting out carried out by the Tenant. The Tenant shall not cause or permit to be made any variation to the approved fitting-out plans and specifications or to the interior design or layout of the Premises without the prior written approval of the Landlord, such approval not to be unreasonably withheld. For the purpose of fitting-out or redecorating or renovating the Premises, the Tenant shall observe and comply with the following provisions:-
Fitting Out. At the Tenant’s own cost to obtain the Landlord’s approval (such approval not to be unreasonably withheld or delayed) for any fitting-out proposals and fitting-out plans and specifications of the Premises provided that the Landlord may impose such reasonable conditions as it deems necessary in its discretion for giving such consent and all requisite consents and approvals from the competent authorities (if necessary) for any proposed addition or alteration to the Premises before the commencement of the fitting-out of the Premises. Without limiting the foregoing, the Tenant shall observe the Fitting Out Guide of the Building as may be prescribed by, and the requirements of the Landlord and the Manager and as may be given, from time to time in the course of fitting out the Premises provided that the Tenant shall not be liable under this clause unless and until a copy of such rules, guidelines and manuals are produced to the Tenant.
Fitting Out. Before fitting out the leased properties, the Tenant shall obtain the written approval of the Landlord on the fitting-out suggestions, plans, and specifications (such approval shall not be rejected or delayed unreasonably, and the Landlord is entitled to raise necessary and reasonable requirements when determining whether to grant such approval or not) and the consent and approval of the competent authority (if necessary), and pay all expenses. Without limitation of the foregoing, the Tenant shall abide by the Fitting-out Guide, the Tenant Manual, and other requirements specified by the Landlord and Management at the time of the leased properties fitting-out. Unless a copy of any requirements, the Guide, and Manual is provided to the Tenant, the Tenant shall not be bound by this Article.
Fitting Out. If the Tenant has been granted approvals before the Lease Commencement Date to carry out Fitting-Out Works on the Premises under the Agreement to Develop and Lease, the provisions thereof shall apply to the exclusion of the Fourth Schedule. Where the Landlord’s approvals for further Fitting-Out Works or for such works in respect of any additional premises are granted after the Lease Commencement Date, the provisions of the Fourth Schedule shall solely govern the carrying out and completion of such works.
Fitting Out. (i) The Tenant shall at its own cost and expense fit out and decorate the shopfront of the Premises (including the installation of shopfront glass and/or shutter) and the interior of the Premises in accordance with such plans and specifications as shall have been first submitted by the Tenant to and approved in writing by the Landlord under Clause 5.4 in a good proper and workmanlike fashion using good quality materials approved by the Landlord and in all respects in a style appropriate to a first class shopping and commercial complex; and
(ii) The Tenant shall maintain the Premises including the furnishings, fixtures and fittings therein or thereto (if any) in good, clean, substantial and proper repair and condition to the satisfaction of the Landlord throughout the Term; Provided that nothing herein shall make the Landlord responsible for any damages or claims arising from any defects in the design or quality of the fitting out carried out by the Tenant.
(b) The Tenant shall not cause or permit to be made any variation to the approved fitting out plans and specifications or to the interior design or layout of the Premises without the prior written approval of the Landlord.
Fitting Out. The Lessee shall at its own expense fit out the Premises as approved by the Lessor with the equipment, fittings and fixtures necessary for the business of the Lessee and will keep such equipment, fittings and fixtures in good repair and condition.
Fitting Out. 4.5.1 To fit out and/or decorate the interior of the Premises in a good and proper workmanlike fashion using good quality materials and in accordance with the requirements and provisions contained in Schedule 4 and the fitting-out guidelines and/or rules as prescribed by the Manager or the Landlord from time to time and to maintain the same throughout the Term in good condition and repair (fair wear and tear excepted) to the satisfaction of the Landlord;
4.5.2 In carrying out any approved fitting out and/or decoration works under this Agreement, the Tenant shall and shall cause its servants, agents, contractors and workmen to:
(i) co-operate fully with the Landlord and the Manager and with other tenants or contractors carrying out any work in the Building; and
(ii) obey and comply with all instructions and directions which may be given by the Landlord or the Manager in connection with the carrying out of such fitting out and/or decoration works;
4.5.3 Not to add onto or allow to be added onto the Premises or any part thereof for any purpose whatsoever any asbestos-containing material in any form whatsoever. If the Tenant is found to be in breach of this provision, the Tenant shall cause all such asbestos-containing material to be removed by a specialist asbestos remover to be approved by the Landlord to the satisfaction of the Landlord at the Tenant’s sole cost and expense. In the event that the Tenant fails to remove such asbestos-containing material, the Landlord may do all things necessary to effect the removal of the same and any monies expended by the Landlord for the purpose shall be repayable by the Tenant on demand and be recoverable, by distress or otherwise, as for rent in arrears.
Fitting Out. 3.6.1 To fit out the interior of the said premises in accordance with such plans and specifications as shall have been first submitted by the Tenant to and approved in writing by the Landlord in the manner set out in Second Schedule in a good and proper workmanlike fashion using good quality materials and in all respects in a style appropriate to a first class office.
3.6.2 The Tenant shall employ, at his own expense, only the Landlord's nominated consultants or contractors for the purpose of design appraisal, carrying out, installing and maintaining all such works associated with the connection of all electrical and mechanical engineering works and arrangements including but not confined to sprinkler system, security system, plumbing and drainage system, air-conditioning system and all their ducting and control units in the said premises or from the said premises to the relevant main systems in the said building.
3.6.3 In carrying out any approved work hereunder, the Tenant shall and shall cause his servants agents contractors and workmen to cooperate fully with the Landlord and with other tenants or contractors carrying out any work in the said building. The Tenant shall obey and cause his servants agents contractors and workmen to obey and comply with all instructions and directions which may be given by the Landlord its servants agents or other authorized representatives in connection with the carrying out of such work.
