Adequate Personnel. (a) SITA shall ensure that an adequate number of appropriately qualified and trained personnel are employed and available at all times to provide and support WLP’s use of the Services and for SITA to perform the Services in accordance with the terms of this Agreement (“SITA Service Personnel”). Upon execution, SITA shall provide for WLP’s and WSL’s account the personnel in the countries (and with the level of dedication) set forth on Attachment KP, SITA shall designate one SITA employee located in the United States (the “Account Manager”) to be located at the appropriate SITA office in Atlanta and shall provide sufficient resources in other locations to serve WLP’s account. SITA shall also designate a Business Solutions Manager and Project Manager to serve the WLP account. The Project Manager shall be based in the United Kingdom and shall dedicate 100 percent of his or her working time to servicing the needs of WLP and WSL. The Business Solutions Manager shall be based in the United States and shall be appropriately assigned to servicing the needs of WLP. SITA shall appoint and manage the SITA Service Personnel including such personnel as shall be reasonably necessary to be on-site at each Installation Site. SITA shall notify WLP as soon as possible after dismissing or reassigning any of the Key SITA Personnel whose normal work location is at WLP premises. Notwithstanding the further terms of this Agreement and the other terms of this Section 3.1 specifically, SITA may adjust the number and types of personnel working on the WLP account (including Key Personnel, as outlined above and as set forth in Attachment KP and including their level of full-time or part-time assignment to WS-related work), provided that SITA consults with WLP prior to making SITA’s staffing decisions concerning WLP, and provided further that SITA maintain the staffing levels necessary to meet the requirements of this Agreement. Accordingly, in the event that SITA wishes to make such a staffing adjustment, SITA’s Account Manager will first discuss the intended changes with WLP in order to reasonably take account of WLP’s present and foreseeable future requirements in SITA’s staffing decisions. SITA shall provide to WLP the names, addresses, phone and pager numbers for Key SITA Personnel upon their assignment to WLP’s account. Adequate Personnel. Contractor shall furnish necessary and qualified engineers, architects, technicians, draftsmen, supervisors, labor, equipment, tools, materials, supplies, incidentals, and other things to perform the Work in accord with the Contract Documents. Contractor shall be responsible for proper staffing of the Work to be performed under this Agreement.
Adequate Personnel. ICG agrees that adequate personnel will be devoted to the provision of the Services hereunder. In the event that any of the individuals (each, a “Key Business Employee”) identified on the Key Business Employee List (as hereinafter defined) are reassigned within ICG such that the Key Business Employee will be tasked with devoting substantially less time in support of the Business (as compared to immediately prior the Closing Date), ICG shall provide Level 3 with notice as promptly as practicable of its intent to reassign such Key Business Employee along with a written plan accounting for continued provision of the Services prior to such reassignment. For the purposes hereof, the term “Key Business Employee List” shall mean a list composed by Level 3 of no more than twenty (20) Key Business Employees to be delivered to ICG in writing within a week following the Closing Date.

Adequate Personnel. Comdisco shall ensure that an adequate number of appropriately qualified and trained personnel are employed and available at all times to provide and support the Service Desk in accordance with the terms of this Services Schedule. Comdisco shall augment through the Change Control Process the personnel assigned to SABRE from time to time as may be necessary to carry out special projects requested by SABRE. If Comdisco personnel are reassigned during the Term, Comdisco shall use its best efforts to ensure a smooth transition, including cooperation between the replaced and newly assigned personnel or, where appropriate, an overlap in the assignment of such personnel to SABRE. Comdisco shall provide the following number of personnel to support SABRE during the Term of this Services Schedule and any extension, unless the parties agree (which agreement will not be unreasonably withheld) that such number should be adjusted. Adequate Personnel. (a) Supplier shall ensure that an adequate number of appropriately qualified and trained personnel, including the Key Personnel identified in Attachment KP (Key Personnel), are employed and available at all times: (i) to provide and support Buyer’s and Customers’ use of the Service in accordance with the terms of this Agreement; and (ii) to ensure that the specifications as set forth in an SOW and/or WA are met. All landscape maintenance workers, also referred to as laborers in this document, must have at least one year of fulltime paid experience in performing all aspects of landscape maintenance. It is desirable that all landscape maintenance workers have more than one year of fulltime paid experience, and highly desirable for all landscape maintenance workers to have more than four years of fulltime paid experience. Qualifying paid experience should include all of the following: maintaining lawns, shrubs, trees, and ground covers; fertilizing plant material, cultivating, pruning shrubs and trees, mowing lawn areas, edging lawn areas, edging ground covers; operating and maintaining Irrigation systems, and performing minor irrigation repairs such as repairing/replacing broken or damaged irrigation heads and risers; and proper operation of landscape equipment.
