A List definition

A List shall have the meaning set forth in Section 2.1(a).

A List of Transferred Employees is set forth on Exhibit D attached to and made part of this Agreement. Seller employees who are not employed by the Business as of the Effective Date or who do not accept employment with Purchaser as set forth above shall be deemed to be retained employees of Seller following the Effective Date (the "Retained Employees").
