Maintenance and Repair of Equipment. Obligor agrees, at its own cost and expense, to keep, repair, maintain, service and preserve the Equipment in good repair, operating and serviceable condition and shall keep the Equipment in order and condition equal to or better than other equipment of the same type owned by Obligor, and in compliance with all requirements of law applicable to the maintenance and condition of the Equipment, including, without limitation, environmental, noise and pollution laws and regulations (including notifications and reports) of any legislative, executive, administrative or judicial body exercising any power or jurisdiction over the Equipment, to the extent that such laws and rules affect the title, operation, maintenance or use of the Equipment, and in the event that such laws or rules require any alteration, replacement or addition of or to any part on any Equipment, Obligor will conform therewith at its own expense. With respect to any Item of Equipment which qualifies for or is subject to any manufacturer's maintenance, repair or warranty policy, such maintenance or repair will be only performed in a manner consistent with such policy. Obligor agrees to prepare and deliver to Obligee and any Assignee within a reasonable time prior to the required date of filing (or, to the extent permissible, file on behalf of Obligee and any Assignee) any and all reports (other than income tax returns) to be filed by Obligee or any Assignee with any federal, national, state or other regulatory authority by reason of the ownership by Obligee or any Assignee of the Items of Equipment or the leasing thereof to Obligor. Obligor agrees to maintain all records, logs and other materials required by any Governmental Entity having jurisdiction over the Items of Equipment or Obligor, to be maintained in respect of each Item of Equipment. Obligor hereby waives any right now or hereafter conferred by law to make repairs on the Equipment at the expense of Obligee.

Maintenance and Repair of Equipment. During the term of ----------------------------------- this Agreement, Armkel shall perform, at its cost and expense, all routine maintenance and repair in substantial conformity with what has historically been performed on the Equipment at such intervals as have been historically customary to maintain the Equipment in good working order, including but not limited to changing oil, replacing filters and lubrication. C&D shall bear the costs and expenses of repairs to the Equipment that are not routine or which extend the useful life of the Equipment beyond routine maintenance and servicing (referred to herein as "Capital Repairs"). If the historical performance of maintenance, --------------- cleaning, and repair failed to conform with current Good Manufacturing Practices, Armkel agrees to henceforth comply with such equipment standard. If Armkel ascertains that the Equipment requires any Capital Repairs, Armkel shall promptly advise C&D thereof by telephone or fax pursuant to Section 9.10 hereof. Except in the case of an emergency, C&D shall have the right to direct the manner in which such Capital Repairs shall be effected, and Armkel shall abide by such directions. To the extent Armkel reasonably incurs any out-of-pocket costs or otherwise at C&D's direction for Capital Repairs (including time of its own employees in diagnosing or effecting any such repairs), Armkel shall invoice C&D therefor, which invoice shall be accompanied by the invoices or vouchers for such costs. C&D shall pay such invoice within 30 days after its receipt thereof.

Lessee agrees to prepare and deliver to Lessor and any Assignee within a reasonable time prior to the required date of filing (or, to the extent permissible, file on behalf of Lessor and any Assignee) any and all reports (other than income tax returns) to be filed by Lessor or any Assignee with any federal, national, state or other regulatory authority by reason of the ownership by Lessor or any Assignee of any Item of Equipment or the leasing thereof to Lessee to the extent any such reports are required because of the nature of the Equipment. Lessee agrees to maintain all records, logs and other materials required by any Governmental Entity having jurisdiction over any Item of Equipment or Lessee, to be maintained in respect of such Item of Equipment. Lessee hereby waives any right now or hereafter conferred by law to make repairs on the Equipment at the expense of Lessor.
Maintenance and Repair of Equipment. Buyer shall be solely responsible for maintaining and repairing the Shared Equipment, and shall bear all costs and expenses associated with maintaining or repairing the Shared Equipment; provided that Buyer may allocate to Seller such portion of the costs and expenses associated with maintaining or repairing the Shared Equipment that is reasonably attributable to the use of such Shared Equipment by Seller pursuant to this Agreement. Notwithstanding the foregoing, (a) all damage or injury to the Girardet Facility or the Shared Equipment caused by or resulting from misuse, or the negligence or willful misconduct of, Seller, Seller’s employees, independent contractors or other agents, will be reimbursed by Seller and (b) all damage or injury to the Spine Business Equipment caused by or resulting from the use by, or the negligence or willful misconduct of, Buyer, Buyer’s employees, independent contractors or other agents, will be reimbursed by Buyer.
Maintenance and Repair of Equipment. 4.3.1 The Contractor shall ensure that the comprehensive maintenance of the Equipment is carried out in accordance with the manufacturer’s specifications as specified in Section 1 unless otherwise stated in the Notification Letter.
