Hardware and Software definition

Hardware and Software means the particular hardware layouts, designs, specifications and product application Software in source or object code form, including but not limited to the Source Code, Developments, improvements, updates, enhancements, error corrections, release notes, Updated Version(s), upgrades and changes to the Hardware and Software as delivered to Customer; provided, however, all Work Product and any Updated Version(s) of such Work Product is specifically excluded as a component from Hardware and Software.
Hardware and Software means the Customer’s equipment on which the WiFi Services are deployed;
Hardware and Software means all of the Debtor's rights (including rights as licensee and lessee) with respect to (i) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (ii) all software programs designed for use on the computers and electronic data processing hardware described in clause (i) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (iii) any firmware associated with any of the foregoing; and (iv) any documentation for hardware, software and firmware described in clauses (i), (ii) and (iii) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.

Examples of Hardware and Software in a sentence

  • The Hardware and Software are pre-integrated and pre-configured before delivery to customer, to provide a "turn-key" solution to a particular problem.

  • In the event the Lease is extended for some but not all of the Hardware and Software specified on a Schedule, the Schedule shall be updated to reflect those changes.

  • Except as set forth on the applicable Schedule, Lessee shall at all times keep the Hardware and Software within its exclusive possession and control.

  • Notwithstanding the foregoing, in those situations where consent is otherwise required, Lessee may move the Hardware or Software to another location within Texas without notification to, or the consent of, Lessor; provided, however, that not later than December 31 of each calendar year, Lessee shall provide Lessor a written report detailing the total amount of Hardware and Software at each location of Lessee as of that date, and the complete address for each location.

  • The Hardware and Software shall at all times be and remain the sole and exclusive property of Lessor, subject to the parties’ rights under any applicable software license agreement.

  • Subject to the requirements of this Agreement, Customer may return standard Hardware and Software within thirty (30) days of the invoice date.

  • Except to the extent Lessor is the manufacturer or licensor of the Hardware or Software Assets, Lessee specifically waives all right to make claim against Lessor for breach of any warranty of any kind whatsoever; and with respect to Lessor, Lessee leases the Hardware and Software “as is”.

  • At the end of the Schedule Term (as well as with respect to any Hardware and Software not extended as described immediately above), Lessee will surrender and return the Hardware and Software to Lessor in compliance with Section 15(b) below.

  • Lessor shall make all filings and returns for property taxes due with respect to the Hardware and Software, and Lessee agrees that it shall not make or file any property tax returns, including information returns, with respect to the Hardware and Software.

  • Subject to the provisions of Section 15(b) under “Option to Extend; Surrender of Hardware and Software Assets,” Lessee agrees to restore the Hardware to Return Condition prior to its return to Lessor.


More Definitions of Hardware and Software

Hardware and Software means and refer to the list of licensed Hardware and Software contained in any applicable GSA Schedule Purchase Orders, and expressly made a part of this Agreement.
Hardware and Software has the meaning set forth in Section 1.1(b).
Hardware and Software means Lessor support services provided under this Agreement pursuant to Attachment A, Technical Specification.

  • Computer Hardware and Software means, with respect to any Debtor, all of such Debtor's rights (including rights as licensee and lessee) with respect to (i) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (ii) all software programs designed for use on the computers and electronic data processing hardware described in clause (i) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (iii) any firmware associated with any of the foregoing; and (iv) any documentation for hardware, software and firmware described in clauses (i), (ii) and (iii) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.

  • System Software means machine-readable data and executable programs used to define the functionality of the HPS control system and standard hardware products, but does not include firmware, operating system, application software or other software products.

  • Supported Software means the supported software identified in the Proposal. System means the designated information technology environment in which the Software is to be used. Term means the term of this Agreement specified in clause 2.

  • Software means computer programs, whether in source code or object code form (including any and all software implementation of algorithms, models and methodologies), databases and compilations (including any and all data and collections of data), and all documentation (including user manuals and training materials) related to the foregoing.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;
