Consulting Period and Services. Commencing on the Resignation Date and ending on the six-month anniversary thereof (the “Consulting Period”), Executive shall make himself available to the Company to consult with the Company from time to time (the “Services”); provided that the Services shall not exceed 20% of the average level of services that Executive performed during the 36-month period prior to the Resignation Date.

The Company may terminate the Services by written notice to Executive at any time prior to the end of the Consulting Period. All such notices from the Chief Executive Officer shall be made not less than 45 days prior to the applicable event, call or meeting. The Company shall pay the reasonable costs, if any, of attendance of Executive at any such events or meetings. In addition, by notice given not less than 30 days before the beginning of any calendar quarter during the Consulting Period, the Chief Executive Officer may set forth specific consulting work that the Chief Executive Officer would like Executive to consult and work on for the following quarter. Executive shall also make himself reasonably available to the Chief Executive Officer by telephone or virtually as requested by the Chief Executive Officer during the Consultant Period.
Consulting Period and Services. (i) Following the expiration of the Employment Period, Executive shall provide consulting services to Cricket for the period commencing on January 1, 2013 and ending on December 31, 2015 (the “Consulting Period”). In the event that the Employment Period terminates prior to December 31, 2012 for any reason, there shall be no Consulting Period. Consulting Period and Services. From the Effective Date of Termination until three (3) years thereafter unless earlier terminated by Xx. Xxxxxxxxx ("Consulting Period"), Xx. Xxxxxxxxx shall make himself reasonably available as a consultant to provide assistance to InforMax as directed by the new Chief Executive Officer ("CEO") in the areas of sales, product development, business development and strategic planning or such other areas as InforMax reasonably deems necessary ("Consulting Services"). InforMax will in good faith assign Xx. Xxxxxxxxx responsibilities appropriate to his background and experience. The parties acknowledge and agree that Xx. Xxxxxxxxx'x fulfillment of his obligations to InforMax hereunder will not require his full business time, but he shall be available up to forty (40) hours per month to perform Consulting Services as may be reasonably assigned by the CEO. InforMax agrees that Xx. Xxxxxxxxx may decline to perform any services not related to the Company's Business (as defined in the Confidential Information Agreement) without being deemed in breach of this Agreement and that InforMax will nonetheless treat him as being "available to perform services" for purposes of payment under Section 5(a) during any period in which InforMax attempts to assign him projects that do not relate to the Company's Business. He may accept other employment with prior notification to the CEO. InforMax agrees that Xx. Xxxxxxxxx may designate one month per calendar year
Consulting Period and Services. Commencing on the Effective Date and ending on the first anniversary thereof (the “Consulting Period”), Executive shall make himself available to advise senior management and otherwise consult with the Company as reasonably requested by the Company from time to time (the “Consulting Services”); provided that the Consulting Services shall not exceed twenty percent (20%) of the average level of services that Executive performed during the 36-month period prior to the Resignation Date. The Company shall not control the manner or means by which Executive performs the Consulting Services, and Executive’s provision of the Consulting Services to the Company shall be non-exclusive. Executive may determine at his discretion the specific times during which he is available, provided that Executive shall be available within a reasonable timeframe and shall reasonably cooperate with the Company with respect to any litigation or other dispute relating to any matter in which Executive was involved or had knowledge during his employment with the Company. Any expenses associated with travel to locations outside Xxxxxx or Washington County shall be reimbursed by the Company.

Consulting Period and Services. For the two-month period beginning on May 14, 2012 and for such additional period as the Company and Consultant may agree in writing (the “Consulting Period”), Consultant agrees to provide consulting services to the Company. These consulting services shall include legal work, advice, and guidance associated with matters in which Consultant was formerly involved during his employment with the Company, matters that generally are within Consultant’s area of expertise, and the transition of existing or ongoing legal matters (the “Consulting Services”). The Company shall provide Consultant with one week’s prior written notice whether the Company desires to extend the Consulting Period beyond the two-month period. During the Consulting Period, Consultant agrees to devote his services to the best of his ability, using his best efforts, to promote the interests and business of the Company. During the Consulting Period, Consultant agrees not to engage in any type of activity which is or may be contrary to the welfare, interests, business or benefit of the Company. The Company will use commercially reasonable, good faith efforts to cooperate with the Executive’s performance of the Services; provided, that under no circumstances shall Executive be under the supervision or control of the Company in performing the Services and in no event shall the Company have any liability for any rejection of an offer to purchase the assets or opportunities described in clause (iii) or (iv). Executive shall not have a title and shall have no authority to bind any member of the Company Group. Executive shall copy one of the Company’s Executive Vice Presidents on any correspondence with third-parties in performing the Services and Executive shall us reasonable efforts to invite an Executive Vice President, with reasonable notice, to any meeting (in-person or by teleconference) with any third-parties in performing the Services. Executive agrees to abide by the Company’s applicable policies (as the same may be amended by the Company from time to time) in performing the Services, including, without limitation, the Company’s Code of Business Conduct and Ethics.
