Consulting Contract. Follow-On Work: No person or firm or subsidiary thereof who has been awarded a consulting services contact or a contract which includes a consulting component may be awarded a contract for the provision of services, the delivery of goods or supplies, or the provision of any other related action which is required, suggested, or otherwise deemed appropriate as an end product of the consulting services contract. Therefore, any consultant that contracts with a COUNTY agency/department to develop a feasibility study or to provide formal recommendations is precluded from contracting for any work recommended in the study or included in the recommendations.

Consulting Contract. Follow-On Work: No person, firm, subsidiary or subcontractor Subcontractor of a firm that has been awarded a consulting services contract or a contract which includes a consulting component may be awarded a Contract for the performance of services, the purchase of goods or suppliesServices, or the provision of any other related action which arises from or can reasonably be deemed an end-product of work performed under the initial consulting to consulting-related Contract.
Consulting Contract. 2.5.1 Six-month Consulting Period. Executive shall be engaged as a consultant to the Company for a period of six (6) months after a Termination Upon Change of Control (the "Consulting Period") to provide advice and assist in the transition occasioned by the Change of Control.

Consulting Contract. The Company shall enter into the Consulting Contract with The Xxxxxxxx Group LLC, a copy of which is attached hereto. Registration Rights. The Company shall comply with the registration rights provision of Schedule B attached hereto. Exemption from Registration for Units. The issuance and sale of the Units are exempt from registration under the Securities Act and the Regulations pursuant to Regulation D promulgated under the Securities Act subject to the following assumptions: The undersigned is not subject to any statute, rule or regulation, or to any impediment to which contracting parties are generally not subject, that requires the Company or such party to obtain the consent of, or to make a declaration or filing with, any governmental authority. The undersigned's factual representations and warranties `in this Agreement are true and accurate in all material respects and (ii) that the undersigned is an "accredited investor," as that term is defined under the Securities Act. The undersigned is not an "underwriter" within the meaning of Section 2(11) of the Securities Act.
