HEREBY AGREED AS FOLLOWS. 1. The Applicant hereby undertakes to all Participants and to the NPC to perform the obligations imposed by and to comply with the provisions of the Rulebook, as modified from time to time, with effect from the Effective Date. 2. The Applicant acknowledges and undertakes the following: 2.1. The Applicant is a NPC Scheme Member or has been approved by the NPC’s Board of Directors as meeting the eligibility requirements in the NPC Bylaws for a NPC Non-Member Participant. 2.2. The signatories of the Applicant [and the agent signing on behalf of the Applicant] have all necessary corporate authorisations and the power and authority to bind the Applicant to the Rulebook. 2.3. The Applicant ensures that it satisfies and will at all times during its participation in the Scheme satisfy the eligibility criteria for participation in the Scheme as set out in the Rulebook. If at any time, the Applicant has reason to believe that it no longer satisfies such criteria, or may be unable to satisfy such criteria, it shall notify the NPC immediately of the circumstances. 2.4. The Applicant is in a position to comply with all of the obligations set out in the Rulebook by the “Readiness Date” as stated in the accompanying Schedule. NCT NCT 3. By submitting this completed form of Adherence Agreement, the Applicant agrees to be bound by the provisions of the NPC Scheme Management Rules governing applications for participation in the Scheme, whether or not it becomes a Participant. 4. Any communication, including service of process, to be made with the Applicant under or in connection with the Rulebook shall be made in writing and addressed to the Applicant at the address set out in the accompanying Schedule. 5. The Applicant consents to the publication of its name and basic details of its adherence application on the public website of the NPC. 6. This Adherence Agreement is governed by Swedish law. If the Parties have not been able to settle any dispute, controversy or claim arising out of or in connection with this Adherence Agreement, or the breach, termination or invalidity thereof, in an amicable manner as set out in the NPC Scheme Management Rules, the dispute, controversy or claim shall be finally settled by arbitration in accordance with the Arbitration Rules of the Arbitration Institute of the Stockholm Chamber of Commerce (the “SCC”). HEREBY AGREED AS FOLLOWS. The San Diego County Farm Bureau (“the Licensor”) developed and owns the San Diego Grown 365 logo with the intent to differentiate for retailers and consumers product meeting the standard of identity of San Diego County from product that does not, thus motivating retailers and consumers to purchase agricultural products grown, produced, processed and/or manufactured in San Diego County. The use of the San Diego Grown 365 Certification Xxxx (Certification Xxxx) may include, but is not limited to, advertising, merchandising, sales and consumer promotion, consumer education, media outreach, marketing and scientific research, health promotion, and public relations. The Licensee must understand, sign and abide by this Licensing Agreement (Agreement) in order to use the Certification Xxxx. The Licensor hereby grants to the Licensee a non-exclusive, non-transferable license to use the San Diego Grown 365 Certification Xxxx (United States Patent & Trademark Office Registration No. 3,475,136) as shown in Exhibit LA-1 and the phrase “San Diego Grown 365” on Licensee’s labels, packages, and products in accordance with the provisions of this Agreement. The term of this Agreement is defined as one year commencing upon the signing of this Agreement on the Registration Date. This Agreement shall automatically renew each succeeding year for one year on the anniversary date as long as all terms and conditions of this Licensing Agreement are being met in the sole judgment of the Licensor. The Certification Xxxx shall only be applied to product grown or harvested in San Diego County, and/or the product’s packaging. For this purpose, product whose components are 85% grown or harvested in San Diego County or its surface or coastal waters will be presumed to meet the standard. The Licensee shall not: 1) Use the San Diego Grown 365 Certification Xxxx for any other purpose than promoting San Diego agriculture, 2) use the Certification Xxxx as its own xxxx, or as the exclusive representation of Licensee’s business entity, 3) sell, part with possession of, or distribute the Certified Xxxx or copies of it, 4) permit the Certified Xxxx to be copied by an unauthorized vendor or otherwise used in contravention of any copyright, trademark, or any other law, 4) permit the San Diego Grown 365 Certification Xxxx to be modified in any way except as specifically permitted under the terms of this License Agreement or with the written agreement of the Licensor, 5) insert he Licensee’s name and...
HEREBY AGREED AS FOLLOWS. 1. In this Accession Agreement, words and expression defined in or for the purposes of the Framework Agreement and not otherwise defined herein shall have the meanings ascribed thereto under the Framework Agreement.
