With respect to each fiscal year during the Term of Employment, the Executive shall be eligible to receive an LTI Award, the type of which, and the terms and conditions thereof, shall be determined by the Compensation Committee of the Board, in its discretion.
The number of members of the Committee may from time to time be increased or decreased as the Board or Compensation Committee deems appropriate.
