Subject to approval by (i) the Corporation’s Board of Directors or its Compensation Committee and (ii) a majority of the shareholders of the Corporation, the Employee will be eligible to receive one or more grants of stock options under the Corporation’s stock option plan as in effect from time to time.
Any equity awards granted to the Executive in his capacity as CEO Americas shall be made pursuant to, and subject to the terms and conditions of, the Equity Incentive Plan and the applicable award agreement, each as adopted, approved, or amended from time to time by the Board of Directors and the Compensation Committee.
Employee shall be eligible for periodic bonuses throughout the year, or for additional salary in excess of the Base Salary, in each case, as may be granted by the Board of Directors or its Compensation Committee.
Executive’s Base Salary will be subject to annual review by the Compensation Committee of the Board (the “Committee”) and may be adjusted upwards (but not downwards) in such amounts as the Committee may determine in its sole discretion.
Following the close of each fiscal year, the Compensation Committee of the Board of Directors (the “Committee”) shall review and validate the Executive’s performance in relation to the above criteria.
