Promote. Upon the earlier of (a) a termination of this Agreement pursuant to Section 12(b)(i), (b) a termination of this Agreement pursuant to Section 12(c)(ii), and (c) the date that is 36 full calendar months after the date of this Agreement, the Company shall pay to the Manager, on the date of the relevant termination or other event or as promptly thereafter as practicable, a cash promote payment (the “Promote”) if the Company TSR Percentage exceeds 10% during the Measurement Period. The Promote shall be calculated, without duplication, as follows: (i) to the extent that the Company TSR Percentage exceeds 10% during the Measurement Period, the Promote shall equal the product of: (x) the weighted-average number of Common Shares outstanding during the Measurement Period (calculated on a fully-diluted basis in accordance with GAAP), multiplied by (y) the product of (A) 10%, multiplied by (B) the difference of (I) the Company TSR Amount not to exceed a Hurdle TSR Amount implied by a Company TSR Percentage during the Measurement Period of 12.5%, less (II) a Hurdle TSR Amount implied by a Company TSR Percentage during the Measurement Period of 10%; (ii) to the extent that the Company TSR Percentage exceeds 12.5% during the Measurement Period, the Promote shall equal the sum of: (x) the amount under (i) above, plus (y) the product of: (A) the weighted-average number of Common Shares outstanding during the Measurement Period (calculated on a fully-diluted basis in accordance with GAAP), multiplied by (B) the product of (I) 15%, multiplied by (II) the difference of (1) the Company TSR Amount not to exceed a Hurdle TSR Amount implied by a Company TSR Percentage during the Measurement Period of 15%, less (2) a Hurdle TSR Amount implied by a Company TSR Percentage during the Measurement Period of 12.5%; and (iii) to the extent that the Company TSR Percentage exceeds 15% during the Measurement Period, the Promote shall equal the sum of: 17

Projects and activities have included:  permanent gateway, BID branded signage at the key entrances to the town centre;  Targeted local advertising online (for the BID website) and published profiles of businesses for newsletter distribution, as well use of social networking media;  Published and distributed at least 12 business dedicated newsletters, keeping business members informed of news, information and opportunities within the BID area;  Free or subsided street events with children entertainment, bringing “animation” to the high street, including the build up to key holidays such as the start of the summer holidays (Northfield Beach/Culture Mash in partnership with the Northfield Community Partnership) and Christmas to increase customer footfall (Northfield on Ice, Northfield Christmas market, Northfield Wonderland, Northfield Christmas Sparkle, etc.);  Printed and online town centre guide/map produced highlighting the variety of shops, leisure, eating outlets; business and community services, car parking and public transport within the Town Centre;  Trialled seasonal themed banners on the lamp post columns within the Town Centre;  Promoted “Visit Northfield” over a 12-week period on the London Midland Cross City Lines were used to target at least 193,750 new and returning passengers that travel by train.  Incentives such as the “Big Book of Savings” featuring shopping vouchers that can only be redeemed in the Town Centre distributed to Northfield customers and visitors at Northfield Beach, Culture Mash and Town Centre events, to increase footfall and invigorate trade during the summer months when high street trading sales tend to fall.
