Diluted Basis definition

Diluted Basis means, with respect to the calculation of the number of shares of Common Stock, (i) all shares of Common Stock outstanding at the time of determination and (ii) all shares of Common Stock issuable upon the exercise, conversion or exchange or any Equity Equivalents; provided, however, that with respect to any options, shares of Common Stock shall only be included in the determination of Diluted Basis to the extent such options are vested.
Diluted Basis means the number of Common Shares outstanding assuming the exercise of all outstanding Options and other rights to acquire Common Shares.

  • The number of issued and outstanding shares of New Common Stock on a Fully Diluted Basis (including the Shares) shall not exceed the Share Cap Number.

Diluted Basis means, with respect to the number of outstanding Shares at any time, such number of outstanding Shares calculated assuming that all outstanding Options and other rights to purchase Shares are exercised including, for the purposes of this calculation, all Shares issuable upon the exercise of the Options whether vested or unvested.
