CONSTRUCTION MANAGER’S SERVICES AND RESPONSIBILITIES. Construction Manager represents to District that it has the necessary license for a Construction Manager as provided for in Government Code Section 4525, et. Seq. that it has expertise and experience in construction supervision; bid evaluation; project scheduling; cost benefit analysis; claims review and negotiation; and general management and administration of construction projects. Construction Manager covenants to provide its best skill and judgment in furthering the interests of District in the management of the construction of the Project. Construction Manager agrees to furnish efficient business administration and management services and to perform in an expeditious and economical manner consistent with the interests of District. The Construction Manager hereby designates the following individuals: [Provide a listing of the name(s) and title(s) of all individuals who will be CM’s representatives on the Project] The designee’s are Construction Manager’s representatives to the Owner. Any substitution of the Construction Manager’s representatives shall be approved in writing by the Owner. Construction Manager shall provide the following services with respect to the Project.

Construction Manager further represents to the District that it is properly registered with the Department of Industrial Relations and qualified to perform public works in accordance with Labor Code sections 1725.5 and 1771.1 at all times during the term of this Agreement. Construction Manager covenants to provide its best skill and judgment in furthering the interests of the District in the management of the construction of the Project. Construction Manager agrees to furnish efficient business administration and management services and to perform in a manner consistent with the interests of the District. The Construction Manager’s Services for the Project shall be as follows and as enumerated within Exhibits “A”, “B” and “C” to this Agreement. All services provided by the Construction Manager under this Agreement shall be provided by or under the direction and control of a licensed general contractor. Basic Services to be provided by the Construction Manager are those enumerated in the Basic Services (Exhibit “A” hereto) and those enumerated in the General Conditions (Exhibit “B” hereto).

Construction Manager agrees that in the event the District seeks State funding for the Project and the SAB adopts a policy for construction management services applicable to the New State Program (“New SAB Policy”), Construction Manager shall comply with the New SAB Policy and this Agreement shall be revised to comply with the New SAB Policy if the District is required to comply with the New SAB Policy as a condition for receiving State funding for the Project.

This Agreement sets forth controlling, “Master,” terms and conditions governing the relationship between the Construction Manager and District for any project the District assigns to the Construction Manager, subject to acceptance of such project assignment by the Construction Manager. No project is deemed assigned by the award of this Master Agreement. Construction Manager shall perform services and be compensated therefore only as set forth in a Project Assignment, in substantially the form provided herewith as Exhibit “A,” strictly in accordance with all terms and conditions of this Master Agreement. The Construction Manager’s Services for the Project shall be set forth in any mutually agreed Project Assignment, in substantially the forms set forth within Exhibits “A”, “B” and “C” to this Agreement. All services provided by the Construction Manager under this Agreement shall be provided by or under the direction and control of a licensed general contractor. Basic Services to be provided by the Construction Manager are those enumerated in the Project Assignment (Exhibit “A” hereto) and those enumerated in the General Conditions (Exhibit “B” hereto).

Construction Manager further represents to the District that it is properly registered with the Department of Industrial Relations and qualified to perform public works in accordance with Labor Code sections 1725.5 and 1771.1 at all times during the term of this Agreement. Construction Manager covenants to provide its best skill and judgment in furthering the interests of District in the management of the construction of the Project. Construction Manager agrees to furnish efficient business administration and management services and to perform in an expeditious and economical manner consistent with the interests of District. Construction Manager shall provide the following services with respect to Project. Construction Manager and District understand and acknowledge that the State Allocation Board (“SAB”) has not yet adopted a policy for construction management services applicable to the Xxxxx X. Xxxxxx School Facilities Act of 1998 (Education Codes section 17070.10, et seq.) (“New State Program”). Nevertheless, Construction Manager and District have attempted to include provisions in this Agreement, which the parties currently anticipate shall be included in any new policy for construction management services applicable to the New State Program. Construction Manager and District further agree that in the event District seeks State funding for the Project and the SAB adopts a policy for construction management services applicable to the New State Program (“New SAB Policy”), Construction Manager shall comply with the New SAB Policy and this Agreement shall be revised to comply with the New SAB Policy if the District is required to comply with the New SAB Policy as a condition for receiving State funding for the Project. CONSTRUCTION MANAGER’S SERVICES AND RESPONSIBILITIES. Construction Manager represents to District that it has experience and expertise in construction supervision; Trade Bid Package preparation and scoping; bid evaluation; project scheduling; cost benefit analysis; claims review and negotiation; and general management and administration of construction projects. Construction Manager further represents to the District that it is properly registered with the Department of Industrial Relations and qualified to perform public works in accordance with Labor Code sections 1725.5 and 1771.1 at all times during the term of this Agreement. Construction Manager covenants to provide its best skill and judgment in furthering the interests of District in the management of the construction of the Project. Construction Manager shall be responsible, to the extent described in this Agreement, for ensuring that the Project is properly completed in a competent and professional manner within the District’s budget and in accordance with the District’s schedule for timely completion of the Project. Construction Manager shall not bid or perform any construction work on the Project, including any work involved in any of the Trade Bid Packages (Trade Contracts). Construction Manager shall comply with any and all applicable prevailing wage laws, and Chapter 1 of Part 7, of Division 2, of the California Labor Code, and any Labor Compliance Program instituted by or on behalf of District. Construction Manager agrees to furnish efficient business administration and management services and to perform in an expeditious and economical manner consistent with the interests of District. Construction Manager agrees that in the event that District seeks state funding for the Project and the State Allocation Board (SAB) or other state agency adopts a policy for construction management at-risk services applicable to the Project, Construction Manager shall comply with any new Policy applicable to construction management at-risk services and the Project, and this Agreement shall be revised to comply with any new Policy if the District is required to comply with a new Policy as a condition for receiving any funding for the Project, subject to Construction Manager’s right to seek additional compensation, or additional time to complete the Project, resulting from such required revisions to the Agreement.
