Project A. All of the conditions necessary for the Acquisition to be consummated shall have been satisfied and the Company and the parties to the Target SPA are proceeding to closing thereunder subject to the provision of the Debt Financing and the purchase of the Shares under this Agreement.
Project A. Santa ▇▇▇ Freeway (Interstate 5) Improvements between Costa Mesa Freeway (State Route 55) and “Orange Crush” Area (State Route 57)
Project A. The Consultant and the University will assess the feasibility of developing demonstration- scale renewable and sustainable energy projects at twelve (12) potential and feasible locations, identifying two (2) locations for each technology listed in Section 1.2, utilizing the following criteria, as applicable:
a. environmental benefits (CO2 reductions);
b. regulatory restrictions;
c. environmental impacts and permitting;
d. site restrictions due to land use/master planning considerations; e. capital cost;
Project A. Bayer represents to Purchaser that the Project was planned and designed with the intention of meeting, to Bayer's knowledge, cGMP standards existing as of June 30, 1998 for the manufacture of tissue culture media components for use in the manufacture of pharmaceutical components and that all work relating to the Project as of the date hereof and as of the Closing Date has been performed in accordance with such intent and in accordance with such standards and procedures as Bayer customarily requires for its own activities.
Project A. E shall participate in a final review of the Schematic Design Documents with Owner and Construction Manager at the Project location or other location specified by Owner in the State of Texas. Prior to Owner’s approval of the Schematic Design Documents, Project A/E shall incorporate such changes as are necessary to satisfy Owner’s review comments, any of which may be appealed for good cause.
Project A. E shall participate in the development and review of the Construction Manager’s Guaranteed Maximum Price (“GMP”) Proposal. This GMP Proposal will include the qualifications, assumptions, exclusions, value engineering and all other requirements identified within Attachment 1 To Exhibit D (Guidelines for the Preparation of the GMP) of the CM Agreement.
Project A. E and its consultants shall assist Owner in checking Record Documents during the course of the Work in association with certifying Applications for Payments and shall review Record Drawings and Specifications for completeness and compliance with Construction Contract requirements at Substantial Completion and at Final Completion of the Project.
