Neither Party shall amend the Specifications without the prior written consent of the other Party; provided, however, that the Parties agree that, in exceptional circumstances, they shall discuss in good faith whether to amend the Specifications to mitigate and account for changes in production output from the Project or specific customer requirements.
Notwithstanding the foregoing, the Borrower shall not, and shall not permit any of its Restricted Subsidiaries to, make any Restricted Payment in reliance on clauses (b), (e), (f) or (k) above at any time when the Revolving Facility Credit Exposure exceeds 10% of the Revolving Facility Commitment (or during the Pre-Completion Avail-ability Period, the Pre-Completion Availability Cap), except for any Restricted Payment constituting an Investment in a Designated Project Entity.
The terms and conditions for such Offtake shall be the same as provided for in the offtake agreements to be entered into by Millennial and its shareholders with respect to the purchase and sale of Offtake from the Consolidated Project (the "Offtake Agreement").
