Origination Services. Service Recipient shall pay Service Provider for Origination Services provided under the Agreement in an amount calculated in accordance with this section 3.1.2 (“Origination Services Fee”). The Origination Services Fee for Origination Services provided during any month shall be calculated as: the amount equal to (x) the product of (A) the aggregate costs of providing Origination Services incurred by Service Provider during such month multiplied by (B) the Monthly Origination Percentage for the prior month times (y) a servicing mxxx-up equal to one hundred five percent (105%). Origination Services. All Education Loans to be serviced by Firstmark pursuant to this Agreement shall have been previously originated by origination agents by or 011 behalf of Lender or Lender's assignor. Firstmark shall not be responsible for any origination services under this Agreement. 2-4.

Properly identifying the Borrower and processing the Borrower’s application through the Customer Identification Program. c. Calculation and deduction of fees as required by Servicing Guidelines prior to disbursement, such that the disbursed amount is net of applicable deductions. d. Preparation of disbursement of the Borrower’s Education Loan and delivery of Education Loan funds to the Borrower or Borrower’s School, or to such other location as Lender may designate, in each case in a single disbursement unless otherwise provided in the Servicing Guidelines. e. Preparation of and delivery to Borrower of all required Loan Documents, as provided by the Servicing Guidelines. Such actions to be taken by Firstmark shall include creation and processing of Loan Documents on forms approved by Lender, review of
Origination Services. The Manager, whether directly or through MRECS, and their respective Affiliates, undertake to use all commercially reasonable efforts to present to the Company a continuing and suitable investment program for the Company consistent with the Guidelines in accordance with this Section 5 (a “Qualifying Investment”). With respect to any Qualifying Investment presented by the Manager to the Company, the Manager shall provide such information as may be reasonably necessary and available for the Board of Directors to consider the matter in question and render an informed decision, or as otherwise may be reasonably requested by the Board of Directors (including proposed term sheets, diligence information, appraisals, environmental reports or other information relating to the applicable Target Investment).
Origination Services. On the Commencement Date, the Origination -------------------- Services shall be provided in the Building. Thereafter and throughout the Term, 4MCA shall have the right to relocate the facility in which the Origination Services are being provided to MTVA, provided that (a) such new location will not materially increase MTVA's operating costs nor materially impact MTVA's operations, (b) at least three (3) months' prior written notice is given to MTVA,(c) the new location is approved by MTVA (such approval not to be unreasonably withheld) and (d) the Origination Services continue to be provided without interruption during the relocation process. If MTVA fails to respond in writing to 4MCA within thirty (30) days after MTVA's receipt of written notice from 4MCA requesting such relocation, such failure to respond shall be deemed MTVA's approval of such relocation. If a relocation pursuant to this Section 7.2 results in a material increase in MTVA's operating costs, MTV shall notify 4MCA in writing of such increased operating costs, and 4MCA shall reimburse MTV for the increase in such operating costs. If, during the relocation process, a "Service Interruption" (as defined in Section 11.3) occurs and lasts for more than twenty-four (24) hours, MTVA shall have the right to terminate this Agreement with respect to the Origination Services, without compensation to 4MCA (except for any fees owed for Services provided prior to the date of termination hereof), and the provisions of Section 11.3 shall apply.
