Portfolio Services. Service Recipient shall pay Service Provider for Portfolio Services provided under the Agreement an amount calculated in accordance with this Section 3.1.1 (“Portfolio Services Fee”). The Portfolio Services Fee for Portfolio Services provided during any month shall be calculated as: the amount equal to (x) the product of (A) the aggregate costs of providing Portfolio Services incurred by Service Provider during such month and (B) the Monthly Active Accounts (Non-Bank Serviced) Percentage for the prior month times (y) a servicing mxxx-up equal to one hundred five percent (105%). Portfolio Services. (a) Portfolio Manager shall, subject to the supervision of Investment Manager, manage the investment and reinvestment of the assets of the Portfolio. Portfolio Manager is authorized, in its discretion and without prior consultation with Investment Manager, to buy, sell, lend, and otherwise trade in any stocks, bonds, and other securities and investment instruments on behalf of the Portfolio, and so long as consistent with the foregoing, without regard to the length of time the securities have been held and the resulting rate of portfolio turnover or any tax considerations. Subject to the investment objectives, policies, and restrictions concerning the Portfolio set forth in the Fund's declaration of trust and in its registration statements under the Investment Company Act of 1940 (the "1940 Act"), the majority or the whole of the Portfolio may be invested in such proportions of stocks, bonds, other securities or investment instruments, or cash as Portfolio Manager shall determine. Notwithstanding any other provision of this Agreement, it is understood and agreed that the Fund shall at all times retain the ultimate responsibility for and control of all functions performed pursuant to the Agreement and reserves the right to direct, approve, or disapprove any action hereunder taken on its behalf by the Portfolio Manager. Portfolio Manager is responsible for compliance with the provisions of Section 817(h) of the Internal Revenue Code of 1986, as amended, applicable to the Portfolio.

  • Surgery Services This plan covers surgery services to treat a disease or injury when: • the operation is not experimental or investigational, or cosmetic in nature; • the operation is being performed at the appropriate place of service; and • the physician is licensed to perform the surgery. Preauthorization may be required for certain surgical services. Reconstructive Surgery for a Functional Deformity or Impairment This plan covers reconstructive surgery and procedures when the services are performed to relieve pain, or to correct or improve bodily function that is impaired as a result of: • a birth defect; • an accidental injury; • a disease; or • a previous covered surgical procedure. Functional indications for surgical correction do not include psychological, psychiatric or emotional reasons. This plan covers the procedures listed below to treat functional impairments. • abdominal wall surgery including panniculectomy (other than an abdominoplasty); • blepharoplasty and ptosis repair; • gastric bypass or gastric banding; • nasal reconstruction and septorhinoplasty; • orthognathic surgery including mandibular and maxillary osteotomy; • reduction mammoplasty; • removal of breast implants; • removal or treatment of proliferative vascular lesions and hemangiomas; • treatment of varicose veins; or • gynecomastia. Preauthorization may be required for these services.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • EFT SERVICES If approved, you may conduct any one (1) or more of the EFT services offered by the Credit Union.
