Service Recipient definition

Service Recipient means the Company, any Parent or Subsidiary of the Company and any Related Entity to which a Participant provides services as an Employee, Consultant or as a Director.
Service Recipient means, with respect to a Participant holding a given Award, the member of the Company Group by which the original recipient of such Award is, or following a Termination was most recently, principally employed or to which such original recipient provides, or following a Termination was most recently providing, services, as applicable.
Service Recipient means the Company or Subsidiary of the Company to which a Participant provides services as an Employee, a Consultant or a Director.

  • Subject to the Participant’s continued employment or service to the Service Recipient through the applicable vesting date, the Performance Stock Units granted under this Performance Stock Unit Agreement shall become vested and eligible for settlement, if at all, based upon the satisfaction of the EBITDAM performance metrics as provided in Section I of this Appendix A (the “EBITDAM Metric Requirement”).

  • Notwithstanding the foregoing, upon a Termination either by the Service Recipient without Cause (and other than due to the Participant’s death or Disability) or by the Participant for Good Reason, all of the Performance Stock Units will remain outstanding (but shall not be vested) and shall be eligible to vest in accordance with Section II.1(a) above through and until the six (6)-month anniversary of the date of such Termination, if a Realization Event occurs within such six (6)-month period.

Service Recipient means, the Company, any Subsidiary of the Company, or any Affiliate of the Company that satisfies the definition of “service recipient” within the meaning of Treasury Regulation Section 1.409A-1(g) (or any successor regulation), with respect to which the person is a “service provider” (within the meaning of Treasury Regulation Section 1.409A-1(f) (or any successor regulation).
Service Recipient means the person for whom the services are performed and with respect to whom the legally binding right to compensation arises, and all persons with whom such person would be considered a single employer under Section 414(b) or 414(c) of the Code.

The term "Change in Control" as defined in this Section 1.1 is intended to comply with all relevant provisions of Proposed Treasury Regulation Section 1.409A-3(g)(5) relating to changes in the ownership or effective control of a corporation and changes in the ownership of a substantial portion of the assets of a corporation.
